Meeting Minutes of August 23, 2016
Friendswood City Hall, 2"d floor conference room

1. Swearing in of newly appointed board members
Friendswood City Secretary, Melinda Welsh, administered the Oath of Office to recently
appointed board members of the Friendswood Economic Development Corporation.
2. Call to order and roll call of Board Members
The meeting was called to order at 4:08 pm.
Present: Ron Cox, Arden (Trey) Hill, Rebecca Hillenburg, Elmer "Bubba"Johnson, Jr., Paul Marx,
Patrick McGinnis, and Alton Todd.
Absent: None
Staff members present: Roger Roecker, Morad Kabiri, Arnold Polanco, Melinda Welsh, Karen
Capps, and Jeff Newpher
Also present: City Councilmember Mike Foreman
3. Election of officers
Motion by Pat McGinnis to elect Ron Cox as President, second by Rebecca Hillenburg. All in
favor, motion carried.
Motion by Pat McGinnis to elect Alton Todd as Vice President, second by Trey Hill. All in favor,
motion carried.
Motion by Ron Cox to combine the officer positions of Secretary and Treasurer under Section
8.8 of the Corporation's Bylaws, second by Rebecca Hillenburg. All in favor, motion carried.
Motion by Ron Cox to elect Pat McGinnis as Secretary/Treasurer, second by Trey Hill. All in
favor, motion carried.
4. Consider and take action on approval of Bylaws
City Attorney, Arnold Polanco, discussed and reviewed the proposed bylaws with the board.
Motion by Pat McGinnis to amend Section 4.6 board member must state reason for abstention
from vote, second by Trey Hill. All in favor, motion carried.
Motion by Pat McGinnis to amend Section 6.3 to state an annual financial report and annual
report that includes the status of current and approved projects be made to City Council,
second by Bubba Johnson. All in favor, motion carried.

After a lengthy discussion regarding unlimited access to the City Attorney by board members,
Pat McGinnis made a motion that any board member could access the City Attorney, second by
Trey Hill. After further discussion, both motion and second were withdrawn and no action was
taken.
Motion by Rebecca Hillenburg to amend Section 7.2 to include the wording "any other
reasonable services in furtherance of the purposes of the Corporation and authorized by the Act,"
second by Trey Hill. All in favor, motion carried.
Motion by Pat McGinnis to amend Section 9.6 to state "Any such obligations must be approved
by City Council in accordance with Sections 501.054 and 501.073 of the Texas Local
Government Code," second by Paul Marx. All in favor, motion carried.
Motion made by Pat McGinnis to amend Section 9.7 (3) to add the wording In accordance with
the City's financial management policies and shall be set forth in the annual budget, second by
Trey Hill. All in favor, motion carried.
Motion made by Trey Hill to approve changes to bylaws, second by Rebecca Hillenburg. All in
favor, motion carried.
City Attorney Polanco will make changes and send by email a revised copy. The board will
consider approval of final bylaws on September 22. The board would like to follow up in the
future and apply for 501 c (3) status.
5. Consider and take action on Service Agreement with the City of Friendswood
No action was taken by the board. This item will be taken up when insurance liability costs are
determined to include in the service agreement under Section 3.
6. Discuss future meeting schedule
Meeting date and time was discussed. The board will meet on the second Tuesday of each
month at 4 pm. Future meeting dates: September 12 at 4:30 pm for ceremonial swearing in.at
City Council meeting, September 22 at 3:30 for short board meeting and presentation by State
Comptroller's Office, October 11 at 4 pm for regular board meeting.
7. Staff updates
City Attorney Polanco provided a status of the pending election lawsuit.

With no further business to discuss,the meeting was adjourned at 5:53 pm.
