ORDINANCE NO. 2019-14 AN ORDINANCE APPROVING THE EXECUTION OF A DEVELOPER PARTICIPATION AGREEMENT BETWEEN THE CITY OF FRIENDSWOOD (CITY) AND COASTAL BEND PROPERTY DEVELOPMENT, LP, (DEVELOPER) AND SER CONSTRUCTION PARTNERS, LLC, (CONTRACTOR), FOR THE PURPOSE OF MAKING CERTAIN PUBLIC IMPROVEMENTS AS AUTHORIZED BY LAW. WHEREAS, the Developer is the owner of land which has been platted as Industry Park Friendswood,a subdivision in the City of Friendswood,Harris County,Texas,(hereinafter referred to as the "Subdivision"); and WHEREAS, the Developer is required to construct certain public improvements as required in this Agreement (herein referred to as the "roadway") to serve the lots in the Subdivision; and WHEREAS, the construction of this roadway will provide the City with paved access to the City's Surface Water Plant No. 2 that is adjacent to the Subdivision; and WHEREAS, the Developer elects to construct the roadway with the City's participation, by entering into a separate construction contract with the Contractor; and WHEREAS,in order to construct the roadway now,rather than at some undetermined time in the future, Developer requested participation from City in a lump sum amount that is less than what the City would otherwise be responsible for in the future, and; WHEREAS,the City and Developer agree it is in the best interest of both entities to enter into a participation agreement at this time to complete the roadway. NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF FRIENDSWOOD, TEXAS: Section 1. That the City Manager is authorized to execute a Developer Participation Agreement between the City, Developer and Contractor, attached hereto as Exhibit"A" and made a part hereof for all purposes, authorizing the City to participate in the construction of the roadway that will provide the City with paved access to the City's Surface Water Treatment No. 2. Section 2. That if any provision or any section of this Ordinance shall be held to be void or unconstitutional, such holding shall in no way affect the validity of the remaining provisions or sections of this ordinance, which shall remain in full force and effect. WHEREAS,the Developer is the owner of land which has been platted as Industry Park Friendswood, a subdivision in the City of Friendswood, Harris County, Texas, (hereinafter referred to as the"Subdivision"); and WHEREAS,the Developer is required to construct certain public improvements as required in this Agreement (herein referred to as the "roadway") to serve the lots in the Subdivision; and WHEREAS, the construction of this roadway will provide the City with paved access to the City's Surface Water Plant No. Two (2) that is adjacent to the Subdivision; and WHEREAS, the Developer elects to construct the roadway with the City's participation,by entering into a separate construction contract with the Contractor; and WHEREAS, in order to construct the roadway now, rather than at some undetermined time in the future, Developer requested participation from City in a lump sum amount that is less than what the City would otherwise be responsible for in the future, and; WHEREAS, the City and Developer agree it is in the best interest of both entities to enter into a Developer Participation Agreement at this time to complete the roadway. NOW THEREFORE, in consideration of the mutual promises, covenants, obligations and benefits of this Agreement, the City, Developer and Contractor agree as follows: COVENANTS OF DEVELOPER AND CONTRACTOR 1. Developer shall enter into a construction contract with Contractor to construct a new roadway that provides the City paved access from FM 2351 to the City's Surface Water Plant No. Two (2). The location of the roadway is set out in yellow highlights in Exhibit "A", attached hereto and made a part hereof for all purposes. EXH I B IT "A" to Ordinance 2. The roadway described in Section 1 above, shall be designed by Developer's own engineer, according to the plans and specifications for the construction of such roadway as approved by the City. 3. Developer shall provide to the City a copy of the construction contract between the Developer and the Contractor, identifying the total costs for construction of the roadway. The Construction Costs for Shared Roadway Improvements describing the specific contract items, item descriptions, unit costs and the City's share of p roadway construction costs is described in Exhibit"B", attached hereto and made a part hereof for all purposes. 4. Developer shall be responsible for all costs associated with the construction of the roadway,including all engineering services, construction plans,permits, labor, inspections and construction management. 5. The Developer shall ensure that all federal, state and local laws are complied with during the progress of construction, a representative of the City may conduct periodic, on- the-ground inspections. 6. The Developer and the Contractor shall make this Agreement and the plans and specifications released for construction of the roadway, an integral part of the construction contract between the Developer and the Contractor. The provisions of this Agreement shall control over any conflicting provision of the construction contract between the Developer and the Contractor. Before commencing construction, the Developer shall deliver to the City Manager or his designee, a signed copy of the construction contract between the Developer and the Contractor. The Developer shall pay the Contractor for construction of the roadway in accordance with the provisions of the construction contract. It is agreed that the City has an interest in the proper performance of the construction contract and may bring suit for failure to comply with the plans and specifications. The Developer and Contractor shall provide the City with access to the roadway for the purpose of inspection of the roadway. 7. Prior to initiating any construction the roadway, the Developer shall require that the Contractor provide the City with the following construction bonds in accordance with the requirements of Texas Local Government Code Section 212.073,and which shall name the City and the Developer as beneficiaries: a) Contractor's Performance Bond. If the contract between the Developer and Contractor for construction of the roadway is for an amount in excess of Twenty-Five Thousand Dollars ($25,000), a good and sufficient Performance Bond in an amount equal to 100 percent of the total contract price,guaranteeing 2 the full and faithful execution of the work and performance of the contract and for the protection of the City and the Developer against any improper execution of the work or the use of inferior materials. The Performance Bond is to be made in favor of the City and the Developer and shall guarantee completion of the roadway within 180 days of execution of this Agreement. b) Contractor's Payment Bond. If the construction contract between the Developer and the Contractor for the construction of the roadway is for an amount in excess of Twenty-Five Thousand Dollars ($25,000), a good and sufficient Payment Bond in an amount equal to 100 percent of the total contract price (between the Developer and the Contractor), guaranteeing Contractor's payment for all labor, materials and equipment used in the construction of the roadway. The Payment Bond shall be made in favor of the City and the Developer and all persons, firms or corporations may furnish materials for or perform labor upon the roadway hereunder. Each bond shall be in a form acceptable to the City and shall be written by a surety company duly authorized to*do business in the State of Texas, provided that the City Manager shall have the right to reject any surety company for any work under this Agreement. 8. The Contractor shall,at his own expense,purchase,maintain and keep in force during the term of this Agreement, the insurance set forth below. Contractor shall not commence work on the roadway until the Contractor has obtained all of the insurance required under this Agreement and such insurance has been approved by the City, nor shall the Contractor allow any subcontractor to commence work on his subcontract until all similar insurance of the subcontractor has been obtained and approved.All insurance policies provided under this Agreement shall be written on an"occurrence"basis. Worker's Compensation Insurance (with Waiver of Subrogation in favor of the City of Friendswood,its officers, agents and employees), with statutory limits. Commercial General Liability occurrence type insurance (No "XCU" restrictions shall be applicable). Products/completed operations coverage must be included. 1. Bodily injury five hundred thousand dollars ($500,000) single limit per occurrence or five hundred thousand dollars ($500,000) each person/ five hundred thousand dollars ($500,000)per occurrence. 2. Property Damage one hundred thousand dollars ($100,000)per occurrence. 3. Minimum aggregate policy year limit one million dollars ($1,000,000). 3 Commercial Automobile Liability Insurance (including owned, non-owned and hired vehicles coverages). 1. Minimum combined single limit of five hundred thousand dollars ($500,000) per occurrence for bodily injury and property damage. 2. If individual limits are provided minimum limits are three hundred thousand dollars ($300,000) per person, five hundred thousand dollars ($500,000) per occurrence for bodily injury and one hundred thousand dollars ($100,000)per occurrence for property damage. All insurance shall be written by an insurer licensed to conduct business in the State of Texas,unless otherwise permitted by City. The City of Friendswood shall be named as an additional insured. The Parties agree that the insurance required herein shall waive subrogation rights for loss or damage so that the insureds have no right to recovery or subrogation against the City of Friendswood,it being the intention of this Agreement that the required insurance policies shall protect all parties to this Agreement and be primary coverage for all losses covered by the policies. The Parties shall provide a certificate of insurance evidencing the required coverages to: City of Friendswood City Manager 910 South Friendswood Drive. Friendswood, Texas 77546 CITY RESPONSIBILITIES 1. Upon completion of the roadway, proof of payment to all persons, firms or corporations who furnished materials and/or performed labor upon the roadway, and acceptance of the improvements by the City,the City shall reimburse Developer an amount that does not exceed $59,289.50 for the City's portion of the construction cost for the roadway. The City shall not reimburse Developer for the cost of the design plans, construction plans,permits, labor,inspections or construction management. 2. The City will designate a contact person available to answer questions on behalf of �. the City. The contact person for this Agreement is the City Manager or his designee. 4 INDEMNIFICATION The Developer and Contractor must indemnify, hold harmless, and defend the City, its officers, agents and employees, from and against liability for any claims, liens, suits, demands, and/or actions for damages, injuries to persons (including death), property damage (including loss of use), and expenses, including court costs and attorneys' fees and other reasonable costs arising out of the Developer's or Contractor's work and activities conducted in connection with this Agreement, including all causes of action based upon common, constitutional, or statutory law, or based in whole or in part upon negligent or intentional acts or omissions of Developer or Contractor, its officers, agents, employees, sub- contractors, licensees, invitees and other persons, whether or not such injuries, death or damages are caused, in whole or in part by the alleged negligence of the City, its officers, agents or employees. Developer and Contractor must at all times exercise reasonable precautions on behalf of and be solely responsible for the safety of its officers, agents, employees, sub-contractors, licensees, invitees and other persons, as well as their property, while in the vicinity where the work is being done. The City is not liable or responsible for the negligence or intentional acts or omissions of the Developer or Contractor, its officers, agents, empbcontrappicl other ersons. The City assumes no responsibilityor liability for harm, injury, or any damaging events,which are directly or indirectly attributable to premise defects, whether real or alleged, which may now exist or which may hereafter arise upon the premises responsibility for all such defects being expressly assumed by the Developer or Contractor. The Developer and the Contractor agree that this indemnity provision applies to all claims, suits, demands, and actions arising from all premise defects or conditions over which Developer or Contractor has dominion and control but not otherwise. The City,Developer and Contractor must provide the others prompt and timely notice of any event covered which in any way affects or might affect the Developer, Contractor or City, and the City has the right to compromise and defend the same to the extent of its own interests. 5 DEFAULT AND TERMINATION 1. The following shall be considered an event of default by Developer under this Agreement: a) Developer fails to comply with any of its duties under this Agreement; b) Developer becomes insolvent; c) All or a substantial part of Developer's assets are assigned for the benefit of its creditors; d) A receiver or trustee is appointed for Developer; e) Developer becomes delinquent on ad valorem tax payments for any property Developer owns in the City of Friendswood; or 2. It shall be a default of this Agreement if Developer fails to cure an event of default within ten(10) days of written notice to the City. If the Developer defaults under this Agreement,the City may terminate this Agreement with no further obligation to the City. If the nature of the event of default is that it cannot reasonably be cured within ten (10) days of the written notice, but the Developer begins reasonable efforts to cure the event of default within ten (10) days and diligently continues in its efforts to cure the event of default, no default of this Agreement will have occurred. 3. Upon termination due to Developer's default, City shall not be responsible for any reimbursement required hereunder. 4. The City's failure to pay the reimbursement amount set out herein is a default of this Agreement. 5. The non-defaulting party may use any action available in equity or law as a remedy to the default. No action taken by a party pursuant to provision in this Agreement shall be deemed to constitute an election of remedies. All remedies set forth in this Agreement and available in equity and law shall be cumulative and non-exclusive of any other remedy. Each of the parties has the duty to mitigate its damages. MISCELLANEOUS TERMS 1. Independent Contractor Developer and Contractor are engaged as independent contractors, and all of the services provided for herein shall be accomplished by Developer and Contractor in such capacity. The City will have no control or supervisory powers as to the detailed manner or method of the Developer's and Contractor's performance of the subject of this Agreement. All personnel supplied or used by Developer or Contractor shall be deemed employees of subcontractors of Developer or Contractor and will not be considered employees, agents or subcontractors of the City for any purpose whatsoever. Developer and/or Contractor shall 6 be solely responsible for the compensation of all such personnel, for the withholding of income, social security and other payroll taxes and for the coverage of all worker's compensation benefits. 2. Venue and Choice of Law Venue for any cause of action arising under this Agreement is Harris County, Texas. This Agreement is governed by the laws of the State of Texas both as to interpretation and performance. 3. Assignment The Developer and the Contractor may not assign in whole or in part any rights, duties, obligations or interest arising from this Agreement without the City's prior written consent, and such consent will not be unreasonably withheld. 4. Amendment or Modification This Agreement, including schedules and attachments, constitutes the entire agreement of the parties. Any statements, promises, or agreements made by the City, Developer or the Contractor or their agents,which are not contained in this Agreement, are of no effect. This Agreement may be amended only by a written instrument signed by the City, Developer and the Contractor. 5. Compliance with Laws, Charter, Ordinances Developer, its agents, employees and subcontractors must comply with all applicable federal and state laws,the charter and ordinances of the City of Friendswood, and with all applicable rules and regulations promulgated by local, state and national boards, bureaus and agencies. Developer must obtain all necessary permits and licenses required in completing the work contracted for in this Agreement. 6. Severability If any terms, sections, subsections, sentences, clauses, phrases, provisions, covenants or conditions of this Agreement are held by a court of competent jurisdiction to be invalid, void or unenforceable,the remainder of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated. 7.Notice Each formal notice required by the terms of this Agreement shall be in writing and sent by facsimile, courier or by registered or certified mail. 7 IN WITNESS HEREOF, each of the parties has executed this Agreement by its undersigned duly authorized representative as of the date first written above, the parties have executed this Agreement.
