ACCESS AND UTILITIES EASEMENT AGREEMENT
Preamble
This Agreement is made on the 1st day of April 2019, at
Friendswood, Galveston County, Texas between COASTAL BEND PROPERTY //'''
DEVELOPMENT, LP ("Grantors") and THE CITY OF FRIENDS WOOD
("Grantee"), whose mailing address is 910 South Friendswood Drive, Friendswood,
Texas 77546.
Grant of Easement
1. For the consideration described in Paragraph 2 below, Grantors grant to
Grantee an easement and right-of-way upon and across the following described
property (the "Property") of the Grantors as depicted in Exhibit A and further
described by metes & bounds in Exhibits B-1 and B-2 attached hereto and made a
part hereof. Grantor does not own the property described in Exhibit B-3, since it
is a platted public road that the Grantee has authority to use.
Consideration
2. The easement is granted in consideration of the Grantee's payment to
Grantors of the sum of TEN and NO/100 ($10.00) DOLLARS, and other valuable
consideration, the receipt of which is acknowledged.
Character of Easement
3. This instrument grants an easement in gross.
Location of Easement
4. The easement and right-of-way shall be located in the area described in
paragraph 1, above.

Purpose of Easement
5. . This right-of-way easement, with its rights and privileges, shall be used all or
in part for the purpose of placing, constructing, repairing and maintaining a road and
utilities to Grantee's adjacent property otherwise known as Regional Water
Treatment Plant No. 2.
Duration of Easement
6. This easement shall be perpetual.
Warranty of Title
7. Grantors and Grantors heirs personal representatives, successors, and assigns
are and shall be bound to warrant and forever defend the easement and rights
conveyed in this instrument to Grantee and Grantee's heirs,personal representatives,
successors and assigns, against every person lawfully claiming all or any part of the
interest in the Property.
Construction and Maintenance
8. Grantor and Grantee shall enter into a Developer Participation Agreement for
the construction of a road within the ROW easement described in Exhibits B-1, B-2
and B-3. Grantee shall pay 100% of the cost of maintenance of the road described
in Exhibit B-3. Grantee shall pay 20% of the cost to maintain the road described in
Exhibits B-1 and B-2, and Grantor or its assignee shall pay 80% of the cost to
maintain the road described in Exhibits B-1 and B-2. Grantor and Grantee shall
enter into a Maintenance Agreement describing how the 20% maintenance amount
will be calculated and the terms and conditions of the payment by Grantee.
Grantor may install and maintain or cause to be maintained a gate in the
approximate area depicted as "proposed gate" in attached Exhibit A.
Notwithstanding the above, if either Grantor or Grantee, its employees,
licensees, tenants, successors or assigns is responsible for damage within the ROW
easement and road, the responsible party is obligated to pay the repair expense.
Neither Grantor or Grantee shall erect or permit the erection of any barriers,
obstructions or other improvements that will interfere with the use thereof for the
purposes contemplated be this declaration.
Indemnity
9. Grantee, to the extent authorized by the Constitution and laws of the State of
Texas, shall hold harmless, defend, and indemnify Grantors against any suits,
liabilities, claims, demands, or damages, including but not limited to personal
injuries and attorney's fees, arising from Grantee's exercise of easement rights
granted by this instrument.
Temporary Easements
10. In addition to the right-of-way easement located as specified in Paragraph 4
above, the parties herein shall have the right to use as much of the surface of the
Property adjacent to the easement as may be reasonably necessary for the
construction and installation of the contemplated road improvements in the
easement. The temporary easement shall expire upon completion of the road.
Rights Reserved and Assignments
11. Grantor retains, reserves, and shall continue to enjoy the use of the surface of
the easement area described in Paragraph 4 of this Agreement for any and all
purposes that do not interfere with and prevent Grantee's use of the easement.
Coincidentally, Grantor may all or in part subdivide and/or sell Grantor's adjacent
property.
Entire Agreement

12. This Agreement contains the entire agreement between the parties relating to
its subject matter. Any oral representations or modifications concerning this
Agreement shall be of no force and effect. Any subsequent amendment or
modification must be in writing and agreed to by both parties.

Harris County,Texas,being out of and a part of Division B and C,of Lot 63 of the HOIDALE-
