A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF FRIENDSWOOD,
TEX�1S, AUTHORIZING THE MAYOR TO EXECUTE AN INDUSTRIAL DISTRICT
AGREEMENT BY AND BETWEEN THE CITY AND EXXON CORPORATION ET AL
BE IT RESOLVED BY THE CITY COUNCZL OF THE CITY OF FRIENDSWOOD,
STATE OF TEXAS: .
Section 1. That the Mayor be, and he is hereby, authorized
to execute for and in behalf of the City of Friendswood an. Indus-
trial District Agreement by and between the City of Friendswood
and Exxon Corporation et al. A copy of a counterpart of such
agreement is attached hereto and made a part hereof for all
purposes .

This agreement entered into as of the ,-;C �� day

of �t,���i' , 197 (� , by and between the City
of Friendswood, a municipal corporation, in Galveston ,
County, Texas, (hereinafter referred to as "City" and
whose address for the purposes of this agreement is City
Hall of the City of Friendswood, 109 Willowick Avenue,
Friendswood, Texas 77546) and the other parties (who
are individually referred to herein as "Owner" and who
are collectively referred to herein as "Owners") who have
signed the original of this instrument, a counterpart
thereaf, or ratification or other instrument agreeing to
become a party hereto;

WHEREAS, it is the policy of City to endeavor to
attract industry and expand its growth and thereby enhance
its economic stability; and
WHEREAS, on the �1�7,� day of �������,,���,�' , �
� 197 (�, , further pursuant to such policy, City has enacted
Resolution No. �"� designating the lands described
therein and located in its extraterritorial jurisdiction and
described as that portion of land lying and being situated
interior to and wholly enclosed within the boundary line,
' defined and described by metes and bounds in Exhibit "A" ,
attached hereto and incorporated herein by reference the
same as if copied at length herein, as an industrial district
known as FRIENDSWOOD INDUSTRIAL DISTRICT NO. 1 of the City
' of Friendswood, hereinafter sometimes called "District No.
1" , such resolution being in compliance with Acts 1963 , 58th �

Legislature, Page 447, Chapter 160 , Article I, Section 5, ;
compiled as Article 970a, Section 5, Vernon' s Annotated Texas `
Civil S�tatutes and commonly referred ta as the "Municipal '

Annexation Act" ; and �

WHEREAS, City desires to encourage industrial ,
development of said lands within District No. 1 and for !
such purpose desires to enter into this agreement with
Owners pursuant to said resolution adopted by the City
Council of the City of Friendswood and recorded in the
official minutes of the City of Friendswood:
NOW, THEREFORE, In consideration of the premises
and the mutual agreements of the parties contained herein,
and pursuant to the authority granted under the Texas
Municipal Annexation Act referred to above, City and
Owners hereby agree with each other as follows :
SECTION l. City covenants with Owners and agrees
and guarantees that during the term of this agreement,
hereinbelow provided, said District No. 1 shall continue
aYid retain its extraterritorial status as an industrial
district as described in Resolution No. � _/� passed
by City Council of the City of Friendswood on the,.,���fday
of �'��,�,p�u.,���,�� , 197 (� , and City does further cove-
nant, agree, and guarantee that such industrial district shall
be immune from annexation by City during the term hereof.
SECTION 2. In consideration for the execution by City
of this agreement, each Owner agrees that, as payment in
lieu of taxes for the years 1977, 1978 , 1979 , and 1980 on
said Owner' s property within District No. 1, said Owner will
pay to City for each of said years, at the times hereina.fter
provided therefor, a sum of money, hereinafter sometimes
referred to as "Payment" , determined by first ascertaining
the fair market value of the land and improvements, herein-
after sometimes called "Said Property" , of said Owner
within District No. 1 by using as the basis for said
Payment the fair market value of Said Property established
by the Clear Creek Independent School District in fixing
its ad valorem tax assessments for the applicak�le one of � �

said years on Said Property, then applying to the fair mar-
ket value so obtained the assessment ratio applied to the
fair market value of property which is used for that year
by City in fixing ad valorem tax assessments on property
within the City and then applying to the figure thus obtained
fifty percent (50$) of the tax rate of City for that year.
For the purpose of computing "fair market value"hereunder,
and for such purpose only, it is agreed that presently the assess-
ment ratio of ad valorem tax assessment used by Clear Creek
Independent School District, hereinafter sometimes referred
to as the "School District" , is forty-five percent (45�)
ofthe fair market value of property and that presently the
assessment ratio of ad valorem tax assessment used by City
. is sixty percent (60�) of the fair market value. Any change
� in such assessment ratios used by the School District and
the City, or either of them, after January l, 1977 , shall be
reflected in all future computations hereunder.
The first Payment, being for the year 1977, by said Owner,
hereinabove provided for, shall be due and payable to City
within 10 days from the date on which this agreement, or a
counterpart thereof, or a ratification of a duly executed
counterpart is executed by said Owner and shall constitute an
advance payment, as hereinabove provided, in lieu of the 1977
ad valorem taxes which would otherwise accrue to City if Said
. Property were annexed. Since 1977 tax rolls will not have
been completed by the date of the first Payment, it is agreed
that the amount of the first Payment shall initially be based,
in accordance with the same principles provided in the first
paragraph of this Section No. 2, upon the School District ' s 1976
fair market value of Said Property, City' s 1976 assessment ratio,
and 50$ of City' s 1976 tax rate, with the f 'inal amount of

such Payment for 1977 to be adjusted, if necessary, to the cor-
rect amount due after final determination of City' s 1977 assess-
ment ratio, 50� of City' s 1977 tax rate, and the School District ' s

1977 fair market value of Said Property as evidenced by certifica- �
tion of its 1977 tax rolls, and in billing said Owner at its mail-
ing address shown opposite its name on Exhibit "B" , attached here-
to and made a part herecf for all purposes, for the amount of the
Payment for 1978 due by said Owner hereunder City shall debit
or credit, as may be the case, the amount thereof by the
amount, if any, of such adjustment. City hereby acknowledges
that the amount set opposite said Owner' s name on Exhibit "B"
represents the correct sum of money (subject, if required, to
later adjustment , upward or downward, as above provided) to
be paid City by said Owner within 10 days from the date on
which this agreement, a counterpart hereof, or a ratification
of a duly executed counterpart is executed by said Owner.
The Payment for 1978 hereinabove provided for shall be
due and payable on or before the 15th day of September, 1977,
or 15 days after receipt by said Owner at its above referred
to address of City' s statement of the amount thereof, which-
ever date is the later, and shall initially be based, in
accordance with the same principles provided in the first
paragraph of this Section No. 2 , upon the School District' s
1977 fair market value of Said Property, City' s 1977 assess-
ment ratio, and SOo of City ' s 1977 tax rate, with final adjust-
ment thereof, if required, being made to accord with the
School District' s 1978 fair market value of Said Property,
as evidenced by certification of its 1978 tax rolls, City' s
� 1978 assessment ratio, and 50� of City' s 1978 tax rate,
after same have been finally determined, in the same manner
as above provided for with respect to final adjustment of
the Payment for 1977.
In like manner and with like adjustments, if required,
the Payments for 1979 and 1980 provided for herein shall be

made by said Owner to City on or before the 15th day of
September 1978 and the 15th day of September, 1979 respective-
ly, or in each said year respectively, 15 days after receipt .
by said Owner at its above referred to address of City's state-
ment of the amount thereof, whichever date in each said year
respectively is the later, with each such Payment being
initially based, respectively, in accordance with the same
principles provided in the first paragraph of this Section No.
2 upon the School District' s 1978 and 1979 fair market values
of Said Property, City' s 1978 and 1979 assessment ratios,
and 50� of City' s 1978 and 1979 tax rates, with final adjust-
ment, if required, of each said Payment being made, as in the
case of the Payments for 1977 and 1978 , to accord with,
respectively, the School District' s 1979 and 1980 fair market
values of Said Property, as evidenced by certification of its
1979 and 1980 tax rolls, City's 1979 and 1980 assessment ratios,
and 50$ of City' s 1979 and 1980 tax rates, after same have
been finally determined. Upon final determination of City' s
1980 assessment ratio, 50� of City' s 1980 tax rate, and the
School District' s 1980 fair market value of said Property as
evidenced by certification of the School District' s 1980 tax
rolls, City shall send said Owner a statement at its above
referred to address of the amount, if any, of the over or under
payment of the amount of the Payment for 1980 together with
the amount of over payment if such should be the case. If the
payment was underpaid, said Owner shall remit to City within
fifteen (15) days of receipt of such statement the amount
due. �
In addition to all other remedies available to City in
event of default by said Owner in making any of the Payments
hereinabove provided for, it is understood and agreed that
each of said Payments shall be treated for all purposes the
same as if it were an ad valorem tax due City and that City
shall have a lien upon and against all of the property of
said Owner located within District No. 1 to secure each of

said Payments to the same extent and with the same effect �
as if the same were a tax lien thereon and shall have all
of the rights of collection of each said Payment as if each
were an. ad valorem tax due and payable to the City secured
by tax lien on such property. Further, in event of default in
any of said Payments by Exxon Corporation, the owner of the
most valuable property interest in said District No. l, City
shall have the right to notify Exxon Corporation in writing by
registered United States mail at its mailing address shown
opposite its name on said Exhibit "B" of the facts relied upon
as constituting a default in any such Payment and that unless
Exxon Corporation remedies such default within 30 days after
receipt of such notice this agreement shall terminate. If Exxon
Corporation, if in default, does not remedy such default within
30 days after receipt of such notice, then this agreement shail
terminate at the end of such 30 day period.
Notwithstanding any provision in this agreement to
the contrary, in the event said Owner elects to protest
the valuation set on Said Property by the School District
for any year or years during the term hereof, nothing in
this agreement shall preclude such protest and said Owner
shall have the right to take all legal steps desired by it
to reduce the same, but at such time as the protested
School District tax valuation on Said Property of the
protestant has been finally determined, either as the result
of the final judgment of a court of competent jurisdiction
or as a result of other final conclusion of the controversy,
then within thirty (30) days thereafter protestant shall
make payment to City of any additional payments due under
this Section 2 based on such final valuation. Even though
said Owner does protest the valuation set on Said Property
by the School District, said Owner shall pay to City on

amount of the Payments provided for in this Section 2 which r
would be due by said Owner to City in accordance with the � �

foregoing provisions of this Section 2, on the basis of ;

renditions filed by said Owner with the Tax Assessor of the ,
School District for that year.
SECTION 3. This Industrial District Agreement shall
extend for a term beginning at 11:59 P.M. Central Standard
Time on the lst day of December, 1976, and continue there- '
after until 11 :59 P.M. Central Daylight Savings Time on the
15th day of September, I980, unless extended for an
additional period or periods of time as provided by the Texas
Municipal Annexation Act upon mutual consent of the parties,
provided, however, that in the event this agreement is
not so extended for an additiona]. period or periods of
time on or before the expiration hereof, the obligations
of all parties hereto which have not theretofore accrued
shall terminate at the exp,iration of this agreement, in-
cluding, but not limited to, the agreement of the City
not to annex property of Owners within District No. 1.
SECTION 4. An Owner of property rights located with-
in District No. 1 may become a party to this agreement by
signing the original of this instrument, a counterpart
thereof, or other instrument agreeing to become a party
hereto. The signing of any such instrument shall have
the same effect as if alI parties had signed the same instru-
ment. The failure of any one or more persons owning an
interest in and to the lands described on Exhibit "A" here-
to, or any part thereof, to sign this instrument, or any
counterpart thereof, sha11 not in any manner affect the
validity and binding effect of same as to the parties who
executed same.
SECTION 5. This agreement shall inure to the benefit '
of and be binding upon City and Owners, and each of them,
andtfieir respective heirs, devisees, legal representatives ,

assignees, successors, affiliates, and subsidiaries, and
shall remain in force whether Owners, or any of them, sell, , � �
assign or in any manner dispose of, either voluntarily or
by operation of law, all or any part of their property with-
in District No. 1, and this agreement shall be held to be
covenants running with the land as to all land lying within
District No. 1 for so long as this agreement, or any exten-
sion thereof, remains in force.
IN WITNESS WHEREOF, the parties hereto have executed
this agreement on the dates below their respective signatures.
