G RESOLUTION R95-8 A RESOLUTION OF THE CITY OF FRIENDSWOOD, TEXAS DIRECTING PUBLICATION OF NOTICE OF INTENTION TO ISSUE CERTIFICATES OF OBLIGATION. * * * * * * * * * * * * * * WHEREAS, the City deems it advisable to give notice of intention to issue Certificates for paying, in whole or in part, contractual obligations to be incurred for improvements to the City's waterworks and sewer system, and for paying legal, fiscal and professional fees in connection with this project. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FRIENDSWOOD, TEXAS: l. That attached hereto and marked "Exhibit A" is a form of Notice of Intention to issue Certificates of Obligation, the form and substance of which are hereby adopted and approved. 2. That the City Secretary shall cause said notice to be published, in substantially the form attached hereto, in a newspaper of general circulation in said City, and published in said City, on the same day in each of two consecutive weeks, the date of the first publication thereof to be before the fourteenth (14th) day before the date tentatively set for the passage of the Ordinance authorizing the issuance of Certificates of Obligation. 3. CITY OF FRIENDSWOOD - � We, the undersigned officers of said City, hereby certify as follows: 1. The City Councilmembers of said City convened in REGULAR MEETING ON THE 20TH DAY OF FEBRUARY, 1995, at the designated meeting place, and the roll was called of the duly constituted officers and members of said City Council, to wit: Evelyn Newman, Mayor Deloris McKenzie, City Secretary Aline Dickey Kitten Hajecate Janis Lowe Tom Manison Mel Measeles [Vacancy) and all of said persons were present, except the following absentees: none , thus constituting a quorum. Whereupon, among other business, the following was transacted at said Meeting: a written RESOLUTION DIRECTING THE PUBLICATION OF NOTICE OF INTENTION TO ISSUE CERTIFICATES OF OBLIGATION was duly introduced for the consideration of said City Council and read in full. It was then duly moved and seconded that said Resolution be passed; and, after due discussion, said motion carrying with it the passage of said Resolution, prevailed and carried by the following vote: AYES• Evelyn Newman, rZayor, Mel Measeles, Kitten � Hajecate and Tom PZanison. NOES: Aline Dickey and Janis Lowe. 2. That a true, full and correct copy of the aforesaid Resolution passed at the Meeting described in the above and foregoing paragraph is attached to and follows this Certificate; that said Resolution has been duly recorded in said City Council 's minutes of said Meeting; that the above and foregoing paragraph is a true, full and correct excerpt from said City Council 's minutes of said Meeting pertaining to the passage of said Resolution; that the persons named in the above and foregoing paragraph are the duly chosen, qualified and acting officers and members of said City Council as indicated therein; that each of the officers and members of said City Council was duly and sufficiently notified officially and personally, in advance, of the time, place and purpose of the aforesaid Meeting, and that said Resolution would be introduced and considered for passage at said Meeting, and each of said officers and members consented, in advance, to the holding of said Meeting for such purpose, and that said Meeting was open to the public and public notice of the time, place and purpose of said meeting was given, all as required by the Texas Government Code, Chapter 551. 3 . That the Mayor of said City has approved and hereby approves the aforesaid Resolution; that the Mayor and the City Secretary of said City have duly signed said Resolution; and that the Mayor and the City Secretary of said City hereby declare that their signing of this Certificate shall constitute the signing of the attached and following copy of said Resolution for all purposes. That this Resolution shall become effective immediately upon adoption. -------------------- EXHIBIT A NOTICE OF INTENTION TO ISSUE CITY OF FRIENDSWOOD, TEXAS CERTIFICATES OF OBLIGATION Notice is hereby given that it is the intention of the City of Friendswood to issue in one or more series Combination T� and Surplus Waterworks and Sewer Systems Revenue Certificates of Obligation in the maximum principal amount not to exceed $3,200,000.00 for paying, in whole or in part, contractual obligations to be incurred for improvements to the City's waterworks and sewer system, and for paying legal, fiscal and professional fees in connection therewith. The City proposes to provide for the payment of such Certificates of Obligation from the levy and collection of ad valorem taxes in the City as provided by law, and from the revenues of the City's Waterworks and Sewer System, after all debt service, reserve and other requirements in connection with all of the City's revenue bonds and other obligations (now or hereafter outstanding) , which are payable from all or any part of the Net Revenues of the City's Waterworks and Sewer System. The City Council intends to consider for passage at a Regular Meeting to be held at 7:00 p.m. on Monday, March 20, 1995 an Ordinance authorizing the issuance of such Combination Tax and Surplus Waterworks and Sewer System Revenue Certificates of Obligation, at the regular meeting place at the City Hall, Friendswood, Texas. � s . , Deloris McKenz e, C City Secretary COS.NTC/LST03
