ORDINANCE NO. 9 8-16 AN ORDINANCE REJECTING THE SCHEDULE OF RATES FOR BASIC SERVICE TIER CABLE PROPOSED BY TCI CENTRAL, INC., DB/A TCI CABLEVISION OF HOUSTON, 1NC., AND FINDING SUCH PROPOSED RATES UNREASONABLE; DE'I'ERMINING A REASONABLE MAXIMUM PERMITTED RATE PER SUBSCRIBER PER MONTH FOR THE PERIOD JUNE 1, 1997, TO MAY 31, 1998; REJECTING THE SCHEDULE OF RATES FOR BASIC SERVICE TIER CABLE ON THE H1632A SYSTEM PROPOSED BY TCI CENTRAL, INC., DB/A TCI CABLEVISION OF HOUSTON, INC., AND FINDING SUCH PROPOSED RATES UNREASONABLE; ESTABLISHING THE MAXIMUM PERMITTED PER SUBSCRIBER PER MONTH BASIC CABLE SERVICE RATES ON THE H1632A SYSTEM OF TCI CENTRAL, INC., DB/A TCI CABLEVISION OF HOUSTON, INC.; REJECTING THE SCHEDULE OF R.ATES FOR BASIC SERVICE TIER CABLE ON THE H1632AR SYSTEM PROPOSED BY TCI CENTRAL, 1NC., DB/A TCI CABLEVISION OF HOUSTON, INC., AND FINDING SUCH PROPOSED RATES UNREASONABLE; ESTABLISHING THE MAXIMUM PERMITTED PER SUBSCRIBER PER MONTH BASIC CABLE SERVICE RATES ON THE H1632AR SYSTEM OF TCI CENTRAL, INC., DB/A TCI CABLEVISION OF HOUSTON, 1NC.; SETTING FORTH OTHER PROVISIONS RELATED TO THE SUBJECT; PROVIDING A PENALTY OF $500 PER DAY PER VIOLATION HEREOF; AND PROVIDING FOR SEVERABILITY. * * * * * * * * * * WHEREAS,the City of Friendswood,Texas (the "City"), is certified to regulate basic cable service rates pursuant to the 1992 Cable Act (the "Act") and Federal Communication Commission ("FCC")rules; and WHEREAS, on or about March l, 1997, TCI Central, Inc., d/b/a TCI Cablevision of Houston, Inc. ("TCI") submitted to the City an FCC Form 1240 with a schedule of rates for the basic service tier and expanded basic service tier, and upon review of such proposed rates, the City Council rejected such rates; and WHEREAS, on or about March 1, 1998,TCI submitted to the City an FCC Form 1240 with a schedule of rates for the basic service tier and expanded basic service tier for the H1632A system and the H1632AR system(hereinafter"Form 1240s"); and WHEREAS,the FCC rules allow the City ninety (90) days to review the proposed schedule of rates after which time the operator may implement such rates, subject to a prospective rate reduction and refund if the City subsequently issues a written decision disapproving any portion of such rates; and Friendswood\'98-1240.Ord. ' � _ , . ��...-.� � . � WHEREAS, at the City's request, C2 Consulting Services, Inc., reviewed TCI's proposed schedule of rates for the basic service tier filing of March 1, 1997, and the March 1, 1998, filing for the H 1632A system and the H 1632AR system; and WHEREAS, C2 Consulting Services, Inc., completed its review of the March 1, 1997, filing and issued its report on April 21, 1997, and has now completed its review of TCI's original proposed schedule of basic service tier rates filed March 1, 1998, for the H1632A system and the H1632AR system and submitted its report explaining its analysis, findings, and conclusions, which report is attached hereto as Exhibit"A"and is incorporated herein for all purposes; and WHEREAS, a public hearing was held to hear public comments on the proposed schedules of basic service tier rates of TCI; and WHEREAS,the City Council has now concluded its review of TCI's proposed schedules of basic service tier rates and the report and recommendations of C2 Consulting Services, Inc., and made certain determinations;NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF FRIENDSWOOD, STATE OF TEXAS: Section 1. That the City Council hereby adopts and affirms the findings and recitals set forth in the preamble to this Ordinance. Section 2. That the City Council, having reviewed TCI's filing of March 1, 1997, and the report submitted by C2 Consulting Services, Inc.,rejected TCI's proposed rates as unreasonable and now hereby finds, determines, and establishes that the maximum permitted rate per subscriber per month for the period June 1, 1997, to May 31, 1998, of$11.63 is a reasonable rate. This rate was derived by using FCC rules, regulations, and instructions as further explained in the report from C2 Consulting Services, Inc., dated April 21, 1997. Section 3. That the City Council, having reviewed TCI's filing of March 1, 1998, of proposed basic service tier rates for the H 1632A system and the H 1632AR system and the report submitted by C2 Consulting Services, Inc., hereby finds and detertnines that TCI's proposed rates for the basic service tier for said systems are unreasonable and are hereby rejected. Section 4. That TCI is hereby ordered to change the current maximum permitted basic service rate on Line A1 of its Form 1240 for the H1632A system from$11.8828 to $11.6335. Section 5. That TCI is hereby ordered to change the estimated average basic service subscribership for the projected period on Line B3 of its Form 1240 for the H1632A system from 8,974 to 10,235. Section 6. That TCI is hereby ordered to reduce the rate per subscriber per month for basic cable service on the H 1632A system to an amount not to exceed $11.81 (the "m�imum -2 - Fri endswoo d\'98-1240.Ord. � � r. -� , , � , , . permitted rate")on the effective date of this Ordinance or June 1, 1998, whichever is later. This rate was derived by using FCC rules, regulations and instructions as further explained in the report from C2 Consulting Services, Inc., attached hereto as Exhibit "A" and which is incorporated herein by reference. TCI is hereby further ordered to refund to subscribers, within forty-five (45) days of the adoption of this Ordinance, the difference between the maximum permitted rate established herein and the actual charges to the extent that actual charges have exceeded the maximum permitted rate, plus interest on such amounts calculated in accordance with FCC rules. Section 7. That TCI is hereby ordered to change the current maximum permitted basic service rate on Line A1 of its Form 1240 for the H1632AR system from $11.8828 to $11.6335. Section 8. That TCI is hereby ordered to change the estimated average basic service subscribership for the projected period on Line B3 of its Form 1240 for the H1632AR system from 8,974 to 10,235. Section 9. That TCI is hereby ordered to reduce the rate per subscriber per month for basic cable service on the H1632AR system to an amount not to exceed $11.85 (the "maximum permitted rate") on the effective date of this Ordinance or June 1, 1998, whichever is later. This rate was derived by using FCC rules, regulations and instructions as further explained in the report from C2 Consulting Services, Inc., attached hereto as Exhibit"A" and which is incorporated herein by reference. TCI is hereby further ordered to refund to subscribers, within forty-five (45) days of the adoption of this Ordinance, the difference between the maximum permitted rate established herein and the actual charges to the extent that actual charges have exceeded the maximum permitted rate, plus interes�on such amounts calculated in accordance with FCC rules. Section 10. That the City Council hereby finds and determines that the rates established hereby are reasonable. Section 11. In adopting this Ordinance the City Council of the City is not approving or acquiescing in any way whatsoever to cost data and/or methodologies not specifically addressed in this Ordinance. Furthermore,the City Council is not waiving any rights to which it is entitled. Section 12. Pursuant to the authority granted to the City under Title 47 C.F.R. § 76.943(a) and Tex. Loc. Gov't Code § 54.001, should TCI fail to comply with any provision of this Ordinance, it shall be deemed guilty of a misdemeanor and, upon conviction, shall be fined in an amount not to exceed $500.00. Each day of each violation shall constitute a separate offense. Section 13. All ordinances in force when this Ordinance becomes effective and which are inconsistent or in conflict with this Ordinance are hereby repealed insofar as such ordinances are inconsistent or in conflict with this Ordinance. Section 14. The City Council of the City of Friendswood, Texas, does hereby declare that if any section, subsection, paragraph, sentence, clause, phrase, word or portion of this - 3 - T'riendswood\'98-l 240.Ord. � �-. .� , ""."'.� � � . . Ordinance is declared invalid or unconstitutional by a court of competent jurisdiction then, in such event, it would have passed and ordained any and all remaining portions of this Ordinance without the inclusion of that portion or portions which may be so found to be unconstitutional or invalid, and declares that its intent is to make no portion of this Ordinance dependent upon the validity of any other portion thereof, and all said remaining portions shall continue in full force and effect. ("C2") has completed its review of the FCC Form 1240s submitted to the Cities of Alvin and Friendswood, Texas (the"Cities")by TCI Cablevision of Houston("TCI" or the "Company") on or about March l, 1998. Because of TCI's "rebuilding" activities, the Cities received two Form 1240 filings: H1632A for the current services being offered; and H1632AR for the services TCI proposes to offer subscribers upon completion of the "rebuild.'" The following report provides a brief discussion of the differences between the two filings, the issues that were noted during the review, and C2's recommendations regarding potential City Council actions far both of TCI's proposed basic service rates. This study does not constitute an examination of the financial condition of TCI or its parent company. Therefore, C2 cannot and does not express any position with regard to the accuracy or validity of the financial information provided by TCI during the course of the analyses. � TCI indicates in the filings that the"rebuild"will be completed prior to the end of the projected period (May 1999). As a result, TCI must receive approval from the City Councils for a"rebuild"rate in order to be able to charge such rate prior to the ne�annual rate filing. '"" f... , , City Representatives � ' April 22, 1998 Page 2 OVERVIEW OF THE FILINGS According to the information provided by TCI, services received via the current system configuration(H1632A)total twenty-one basic service channels and seventeen expanded basic service channels.2 TCI currently charges $11.88 for basic service and $12.62 for expanded basic service. TCI proposes increases for these services of$0.68 and $0.51, respectively, resulting in proposed monthly rates of$12.56 and $13.13 for the period June, 1998 through May, 1999. Based on the filing, the services to be offered via the "rebuild" system will not begin until after January, 1999. The basic service will increase to twenty-five channels and the expanded basic service will increase to thirty-three channels. TCI proposes to charge subscribers $12.60 and$l 3.74, respectively, once a subscriber begins receiving the additional services. The $0.04 difference between the two filings in TCI's proposed basic service rates is due almost exclusively to added programming costs for providing the Prevue and Sneak services which are not currently being offered. TCI's proposed"true-up"calculations are the same for both filings because the true-up period is from December 1996 through November 1997; a period during which additional services were not available to any subscribers. The"projected" period calculations differ between the two filings to reflect the additional channels and associated costs that are proposed for 1999.� There are three major factors which explain the approximate six percent increase in the basic service rates for both of the filings: 1. TCI proposes significant programming cost increases for WTBS. 2. TCI has included an approximate seventeen percent reduction in the number of subscribers during the projected period(impacting the adjustment for the per subscriber true-up to be added to the rates) 3. The true-up segment includes six months of the period in which TCI chose to charge an"operator selected rate"that was $0.25 less than the maximum permitted rates approved by the Cities.4 The difference between the 2 These counts are as of December, 1997 and do not include the unregulated premium services. However, based on the proposed channel line-ups,it appears that all channel changes will occur before May, 1999. 4 The maximum permitted rate established for the period June 1996 thraugh May 1997 was$10.14. TCI selected to charge only$9.89 for this period. Because there is a six month gap between the true-up period and the projected period proposed by TCI,the last six months of the projected period from the 1996 filing and the first six months of the projected period from the 1997 filing are included as the true-up period in this filing. City Representatives � ' Apri122, 1998 Page 3 maximum permitted and the operator selected rates are now being considered under-collections on which interest is being added for a total true-up period adj ustment. ANALYSES OF THE FII,INGS Project Objectives and Activities The project objectives are three fold: 1. Assessment of the completeness of the filings with regard to the information and documentation that must be filed with the Cities. 2. Assessment of the reasonableness of the proposed computations in light of Cities' prior rate decisions, FCC regulation and recent FCC rulings. 3. Assessment of the reasonableness of the proposed computations in light of the system specific costs and subscriber data. Given these objectives, C2 conducted the following project activities5: • Review of the filings to assess the completeness based on the FCC Form instructions • Review of the filings to identify any issues with respect to the data and/or methodologies employed by TCI • Submission of follow-up data requests and subsequent review of TCI's responses • Review of recent FCC decisions that may have an impact on TCPs proposed methodologies or the Cities alternative actions • Development of potential alternatives available to the Cities in establishing maximum permitted basic service rates Summary of Findings C2 identified two issues with respect to TCPs proposed computations of basic service rates. Both of the Form 1240 filings are impacted, only with slightly different results. The issues are: 5 The project activities were conducted in tandem for both the Form 1240s and the Form 1205. TCI did not begin with the ma�mum permitted rate ordered by the Cities for the rate period beginning June, 1997 through May, 1998. 2. TCI's projected reduction in the subscribership appears excessive given the levels of subscribers over the last several years. 1. 1997 Start Rate Pursuant to the Form 1240 computations, annual filings provide for a true-up of rates that have been charged during the preceding rate year based on actual external costs, inflation, channel lineup and movement, and number of subscribers. In order to perform this computation,the Form 1240 begins with the maximum permitted rate established by the regulator(the city) during the preceding rate analyses and"trues-up"these identifiable components of the rate. In its 1997 filing, TCI proposed a maximum permitted basic service rate of$1].88. The City of Alvin found this rate to be unreasonable and order a maximum permitted rate of $11.63.6 The City of Friendswood denied any increase over the l 996 rate of$10.l 4. TCI appealed both of these City decisions to the FCC; the FCC has not ruled on either appeal.' Because C2 reviewed the computation of the $11.88 rate filed in l 997 and recommended that the monthly basic service rate be $11.63, C2's recommended approach is to start with the $11.63 monthly rate on each of the filings presented this yearg. The impacts of adjusting the "start rate"to $11.63 are an approximate $0.67 reduction on TCI's proposed rate for the current system and an approximate $0.67 reduction on TCI's proposed rate for the "rebuild" system. The significant reductions are not only due to the $0.25 lower start rate,but also due to less under-recovery(plus interest) during the true-up period in which a comparison is made between actual rates charged and the true-up of last year's maximum permitted rates. 2. Projected Period Subscribership The Form 1240 formula provides for projected cost/channel changes to be stated based on a per subscriber impact. In order to do so, the cable operators must also project the E'The vast majority of the recommended reduction in TCPs proposed 1997 rate was due to its miscalculation of the true-up of the 1996"Gap"adjustment. Recently,the FCC also has ruled in a number of CPST complaint proceedings that TCI miscalculated the"Gap"true-up for the expanded basic service tier. In C2's opinion, such FCC rulings provide further support of the position taken by the City of Alvin in setting maximum permitted basic service rates for the period June, 1997 through May, 1998. 'In addition to the appeal of the Cities' decisions, TCI requested that the FCC"stay"the effectiveness of the Cities' ordered rates until such time that the FCC could render a decision with regard to the appeals. As of the writing of this report,the FCC has not ruled on the requested"stay"of the Cities' decisions. x Although recognizing that the City of Friendswood did not adopt the$11.63 in 1997, C2 has not performed an alternative computation for the City because the$11.63 was recommended to the City by C2. TCI employs a standard methodology for projecting subscribers by using a historical monthly growth rate applied to the last monthly subscriber level during the true-up period(which is November, 1997 for the instant filings). This same rate is applied to each month through the end of the projected period(which is May, 1999). An average of the resulting monthly subscriber counts for the period June, 1998 through May, 1999 is then used as the projected average subscribership. The number of subscribers for the Cities of Friendswood and Alvin have been declining since September 1996. However, for the period July, 1995 (the first month included in any Form 1240)through September 1996,the monthly level of subscribers was steadily increasing. At no time during a historical period of twenty-nine months (July, l 995 through November, 1997) has the monthly level of subscribers been less than 10,235 (See Exhibit A). Therefore, TCI's standard methodology of continuing to trend downward over an additional eighteen month period(December, 1997 through May,1999)to an average level of 8,974 does not appear reasonable based on the known monthly number of subscribers. Given the historical �rowth and decline in the monthly subscriber counts, the lowest level during the historical twenty-nine month period appears to be a reasonable average monthly count for the projected period. By adjusting the average projected subscribership from TCI's proposed 8,974 to 10,235, TCI's proposed rates for basic service are reduced an additional $0.08 per subscriber per month.y SUMMARY OF RECOMMENDATIONS Based on the above findings, C2 recommends the following adjustrnents be considered by the Cities in determining the ma�mum permitted monthly basic service rates: A1632A—Non-Rebuild Rate 1. The current maximum permitted basic service rate on Line A1 should be $11.6335 instead of the $11.8828 included by the Company. 2. The Company's proposed estimated average basic service subscribership for the projected period does not appear reasonable given the historical monthly number of basic service subscribers and should be adjusted from 8,974 to 10,235 on Line B3. 3. The Cities should order a maximum permitted basic service rate of$11.8058 as compared to TCPs proposed$12.5595.10 9 The$0.08 reduction is the same for both the current system and the"rebuild" system. lo Although the City of Friendswood denied the rate computation presented by TCI in 1997,thereby retaining the maximum permitted rate of$10.14 estab(ished in 1996, C2 is not recommending that the 1998 rate be computed based on this 1996 level. C2's recommendation is based on the computation of Form City Representatives � April 22, 1998 Page 6 H1632AR—Rebuild Rate 1. The current maximum permitted basic service rate on Line A 1 should be $11.6335 instead of the $11.8828 included by the Company. 2. The Company's proposed estimated average basic service subscribership for the projected period does not appear reasonable given the historical monthly number of basic service system subscribers and should be adjusted from 8,974 to 10,235 on Line B3. 3. The Cities should order a maximum permitted basic service rate of$11.8451 as compared to TCI's proposed $12.598." Additional Issues and Recommendations C2 notes that TCPs filing reflects Tier 2 rates to be increasing under both filings. As you recall, these rates are regulated by the FCC, but only in the event that a complaint is �led by the Cities. Pursuant to FCC regulations, a complaint can be filed by the franchising authority upon receipt of multiple (more than one) complaints by subscribers within ninety(90) days of the date the rate increase becomes effective. C2 strongly recommends that the Cities file the appropriate complaint upon receipt of the required subscriber complaints. As regulation of the Tier 2 rates is scheduled to"sunset" in March 1999, a final review by the FCC should he conducted.
