R2005-09 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF FRIENDSWOOD, TEXAS, APPROVING AND SUPPORTING PASSAGE OF LEGISLATION CREATING THE WEST RANCH MANAGEMENT DISTRICT. WHEREAS, the 79th Session of the Texas Legislature convened on January 11, 2005; and WHEREAS, the actions taken by the Texas Legislature directly impact the City of Friendswood and its residents and businesses; and WHEREAS, the City of Friendswood wishes to see the passage of a bill to created the West Ranch Management District within the boundaries of the City of Friendswood; and WHEREAS, the City Council of the City of Friendswood has reviewed and approved the proposed form of the legislation to create such a district; and WHEREAS, the City Council of the City of Friendswood would like to voice its support for the passage of such legislation;NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FRIENDSWOOD,TEXAS: Section 1. That the City Council hereby approves the proposed legislation to create the West Ranch Management District in substantially the form attached hereto as Exhibit"A". Section 2. No. A BILL TO BE ENTITLED 1 AN ACT 2 relating to the creation and authority of the West Ranch Management District; 3 providing authority to levy an assessment, impose taxes, issue bonds and providing for 4 limited powers of eminent domain; . 5 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS: 6 SECTION 1. CREATION OF DISTRICT. (a) The West Ranch Management 7 District is a special district created under Section 59, Article XVI, Texas Constitution. 8 (b) The board by resolution may change the name of the district. 9 SECTION 2. DEFINITIONS. In this Act: 10 (1) "Board" means the board of directors of the district. 11 (2) "City" means the City of Friendswood, Texas. 12 (3) "County" means either Harris County or Galveston County, as 13 applicable. 14 (4) "District" means the West Ranch Management District. 15 SECTION 3. DECLARATION OF INTENT. (a) The creation of the district is 16 essential to accomplish the purposes of Sections 52 and 52-a, Article III, and Section 59, 17 Article XVI, Texas Constitution, and other public purposes stated in this Act. 18 (b) The creation of the district is necessary to promote, develop, encourage, 19 and maintain employment, commerce, transportation, housing, tourism, recreation, the 20 arts, entertainment, economic development, education, safety, and the public welfare in 21 the area of the district. 22 (c) The creation of the district and this legislation may not be interpreted to 23 relieve the county or the city from providing the level of services provided, as of the 1 1 effective date of this Act, to the area in the district. The district is created to supplement 2 and not to supplant the county or city services provided in the area in the district. 3 (d) By creating the district and in authorizing the city, the county, and other 4 political subdivisions to contract with the district, the legislature has established a 5 program to accomplish the public purposes set out in Section 52-a, Article III, Texas 6 Constitution. 7 SECTION 4. BOUNDARIES. The district includes all the territory contained in 8 the following described area: 9 All of the following four tracts of land containing 765.31 acres, more or less, 10 which are situated in Harris County and Galveston County, Texas: 11 TRACT"A" 12 BEING 224.66 acres of land in the John Dickinson League, Abstract Number 9, City of 13 Friendswood, Galveston County, Texas and being all of Lots 1 through 25, a portion of 14 Lot 26, Lot 27, Lot 28, all of Lots 29 through 38 and all of the land contained within the 15 roads adjoining the above said Lots of the Slone Subdivision, originally recorded in 16 Volume 254-A, Page 53 of the Galveston County Map Records and transferred to 17 Volume 13, Page 91 of the Galveston County Map Records, and also being all of the 18 unplatted portion of the said Slone Subdivision lying north of Lots 1 through 11, south 19 of Chigger Bayou and south of Clear Creek as shown on the plat of the said Slone 20 Subdivision, said 224.66 acres being a portion of that same property as described in 21 deeds recorded under Clerk's File Number 8900646 and 9305532 of the Official Public 22 Records of Real Property of Galveston County, Texas, said 224.66 acres being more 23 particularly described by metes and bounds as follows: 24 COMMENCING at a 4-inch Texas Department of Transportation brass disk in concrete 25 found for the most southerly corner of Century Oaks Estates, a subdivision plat 26 recorded under Volume 18, Page 547 of the Galveston County Map Records, the 27 southwest corner of a called 2.5 acre tract as described in a deed recorded under 28 Volume 2563, Page 690 of the Galveston County Deed Records and being in the north R2005-09 West Ranch Exhibit A 2 1 right-of-way line of Farm-to-Market Road 518, as widened per deed recorded in 2 Volume 3215, Page 290 of the Galveston County Deed Records; FINDINGS RELATING TO BOUNDARIES. The boundaries and 21 field notes of the district form a closure. If a mistake is made in the field notes or in 22 copying the field notes in the legislative process, the mistake does not in any way affect 23 the district's: 24 (1) organization, existence, or validity; 25 (2) right to issue any type of bond for a purpose for which the district is 26 created or to pay the principal of and interest on a bond; 27 (3) right to impose or collect an assessment or tax; or 28 (4) legality or operation. R2005-09 West Ranch Exhibit A 16 1 SECTION 6. FINDINGS OF BENEFIT AND PUBLIC PURPOSE. (a) The 2 district is created to serve a public use and benefit. All the land and other property 3 included in the district will be benefited by the improvements and services to be 4 provided by the district under powers conferred by Sections 52 and 52-a, Article 5 III, and Section 59, Article XVI, Texas Constitution, and other powers granted under 6 this Act. 7 (b) The creation of the district is in the public interest and is essential to: 8 (1) further the public purposes of development and diversification of 9 the economy of the state; and 10 (2) eliminate unemployment and underemployment and develop or 11 expand transportation and commerce. 12 (c) The district will: 13 (1) promote the health, safety, education, and general welfare of 14 residents, employers, employees, visitors, and consumers in the district and the general 15 public; 16 (2) provide needed funding to preserve, maintain, and enhance the 17 economic health and vitality of the district as a community and business center; and 18 (3) further promote the health, safety, welfare, education, and 19 enjoyment of the public by providing pedestrian ways and by landscaping and 20 developing certain areas in the district, which are necessary for the restoration, 21 preservation, and enhancement of scenic beauty. 22 (d) Pedestrian ways along or across a street, whether at grade or above or 23 below the surface, and street lighting, street landscaping, and street art objects are parts 24 of and necessary components of a street and are considered to be a street or road 25 improvement. 26 (e) The district will not act as the agent or instrumentality of any private 27 interest even though many private interests, as well as the general public, will be 28 benefited by the district. R2005-09 West Ranch Exhibit A 17 1 SECTION 7. APPLICATION OF OTHER LAW. (a) Except as otherwise 2 provided by this Act, Chapter 375, Local Government Code, applies to the district. 3 (b) Chapter 311, Government Code, applies to this Act. 4 SECTION 8. CONSTRUCTION OF ACT. This Act shall be liberally construed 5 in conformity with the findings and purposes stated in this Act. 6 SECTION 9. BOARD OF DIRECTORS IN GENERAL. (a) Except as provided 7 by Subsection (c), the district is governed by a board of five directors appointed under 8 Section 10. 9 (b) Directors serve staggered terms of four years, with two directors' terms 10 expiring June 1 of an odd-numbered year and three directors' terms expiring June 1 of 11 the following odd-numbered year. 12 (c) A position as director on the board that is vacant for any reason including 13 death, resignation, disqualification, or abstention from participation in a vote due to a 14 conflict of interest, is not counted for the purposes of determining the requirements for 15 a quorum of the board. 16 SECTION 10. APPOINTMENT OF DIRECTORS. (a) The governing body of 17 the city shall appoint district directors from persons nominated by the board. A person 18 is appointed if a majority of the council votes to appoint that person. The board shall 19 conform its director nominations to the requirement that: 20 (1) at least a majority of serving directors shall have been named 21 from a list provided by the owner of 25 percent of the land area of the district (unless 22 the district has no owner so qualified); and 23 (2) two board members shall have been named by the governing 24 body of the city. 25 (b) If no qualified names are provided in accordance with items (1) or (2) 26 of subsection (a) within 30 days of a written request therefor, the board may nominate 27 any qualified person as director. 28 (c) The city shall have the right to remove and replace any directors it 29 nominates under item (2) of subsection (a) from time to time without cause. R2005-09 West Ranch Exhibit A Ig 1 SECTION 11. CONFLICTS OF INTEREST; ONE-TIME AFFIDAVIT. 2 (a) Except as provided by this section: 3 (1) a director may participate in all board votes and decisions; and 4 (2) Chapter 171, Local Government Code, governs conflicts of interest 5 for directors. 6 (b) Section 171.004, Local Government Code, does not apply to the district. A 7 director who has a substantial interest in a business or charitable entity that will receive 8 a pecuniary benefit from a board action shall file a one-time affidavit declaring the 9 interest. An additional affidavit is not required if the director's interest changes. After 10 the affidavit is filed with the board secretary, the director may participate in a 11 discussion or vote on that action if: 12 (1) a majority of the directors have a similar interest in the same 13 entity; or 14 (2) all other similar business or charitable entities in the district will 15 receive a similar pecuniary benefit. 16 (c) A director who is also an officer or employee of a public entity may not 17 participate in the discussion of or vote on a matter regarding a contract with that public 18 entity. 19 (d) For purposes of this section, a director has a substantial interest in a 20 charitable entity in the same manner that a person would have a substantial interest in a 21 business entity under Section 171.002, Local Government Code. 22 SECTION 12. ADDITIONAL POWERS OF DISTRICT. 23 (a) The district may acquire, construct and finance educational facilities, 24 sites and appurtenances benefiting the district, and convey same to the school district 25 serving the district. 26 (b) The District may not exercise the power of eminent domain except to 27 provide for drainage or detention facilities to serve the district in the same manner 28 provided for municipal utility districts operating under Chapter 54, Water Code. The R2005-09 West Ranch Exhibit A 19 1 District may not exercise the power of eminent domain against any property owned by 2 the city or the county. 3 SECTION 13. AGREEMENTS; GRANTS. (a) The district may make an 4 agreement with or accept a gift, grant, or loan from any person. 5 (b) The implementation of a district project is a governmental function or 6 service for the purposes of Chapter 791, Government Code. 7 SECTION 14. LAW ENFORCEMENT SERVICES. To protect the public 8 interest, the district may contract with the city to provide law enforcement services in 9 the district above and beyond those provided within the district by the city. 10 SECTION 15. REQUIREMENTS FOR FINANCING SERVICES AND 11 IMPROVEMENTS. The district may acquire, construct, finance, operate and maintain 12 any improvement or service authorized under this Act or Chapter 375, Local 13 Government Code; provided that, the board may not finance a service or improvement 14 project with assessments under this Act unless a written petition requesting that 15 improvement or service has been filed with the board. The petition must be signed by 16 the owners of a majority of the assessed value of real property in the district subject to 17 assessment as determined by the most recent certified tax appraisal roll for the county. 18 SECTION 16. UTILITIES. The district may not impose an 19 impact fee or assessment on the property, equipment, rights of way, facilities, or 20 improvements of an electric utility or a power generation company as defined by 21 Section 31.002, Utilities Code, a gas utility as defined by Section 101.003 or 121.001, 22 Utilities Code, a telecommunications provider as defined by Section 51.002, Utilities 23 Code, or of a person that provides to the public cable television or advanced 24 telecommunications services. If the district, in the exercise of the powers conferred on it 25 by this Act, requires or requests the relocation, rerouting, or removal of electric, gas, 26 water, sewer, communications, or other public utilities, as defined by Sections 31.002, 27 101.003, 121.001, or 51.002, Utilities Code, the relocation, rerouting, or removal shall be 28 at the sole expense of the district. R2005-09 West Ranch Exhibit A 2� 1 SECTION 17. BONDS. The district may issue bonds or other obligations 2 payable in whole or in part from ad valorem taxes, assessments, impact fees, revenue, 3 grants, or other money of the district, or any combination of those sources of money, to 4 pay for any authorized purpose of the district. In exercising the district's borrowing 5 power, the district may issue a bond or other obligation in the form of a bond, note, 6 certificate of participation or other instrument evidencing a proportionate interest in 7 payments to be made by the district, or other type of obligation. At the time bonds 8 payable in whole or in part from taxes are issued, the board shall levy a continuing 9 direct annual ad valorem tax for each year while all or part of the bonds are outstanding 10 on all taxable property within the district in sufficient amount to pay the interest on the 11 bonds as it becomes due and to create a sinking fund for the payment of the principal of 12 the bonds when due or the redemption price at any earlier required redemption date 13 and to pay the expenses of assessing and collecting the taxes. 14 SECTION 18. ELECTIONS. (a) The district shall hold an election in the 15 manner provided by Subchapter L, Chapter 375, Local Government Code, to obtain 16 voter approval before the district imposes an ad valorem tax or issues bonds payable 17 from ad valorem taxes. 18 (b) The board may include more than one purpose in a single proposition at an 19 election. 20 (c) Section 375.243, Local Government Code, does not apply to the district. 21 SECTION 19. AD VALOREM TAX. If authorized at an election held in 22 accordance with Section 18, the district may impose an annual ad valorem tax on 23 taxable property in the district for the purposes of the district, including the acquisition, 24 construction, operation and maintenance of the district and the improvements 25 constructed or acquired by the district or for the provision of services. The board shall 26 determine the tax rate. 27 SECTION 20. MUNICIPALITY NOT REQUIRED TO PAY DISTRICT 28 OBLIGATIONS. Except as provided by Section 375.263, Local Government Code, a 29 municipality is not required to pay a bond, note, or other obligation of the district. R2005-09 West Ranch Exhibit A 21 1 SECTION 21. DISBURSEMENTS OR TRANSFERS OF MONEY. The board by 2 resolution shall establish the number of directors' signatures and the procedure 3 required for a disbursement or transfer of the district's money. 4 SECTION 22. COMPETITIVE BIDDING. In lieu of Subchapter K, Chapter 375, 5 Local Government Code, the provisions of Chapter 49, Water Code, relating to 6 competitive bidding, shall apply to the district with respect to contracts for construction 7 or acquisition of water, wastewater and drainage or detention improvements; all other 8 district projects shall be awarded in accordance with the competitive bidding 9 requirements of a local government corporation operating pursuant to the provisions of 10 Chapter 431, Transportation Code. 11 SECTION 23. EXCEPTION FOR DISSOLUTION OF DISTRICT WITH 12 OUTSTANDING DEBT. (a) The board may vote to dissolve a district that has debt. If 13 the vote is in favor of dissolution, the district shall remain in existence solely for the 14 limited purpose of discharging its debts. The dissolution is effective when all debts 15 have been discharged. 16 (b) Section 375.264, Local Government Code, does not apply to the district. 17 SECTION 24. MUNICIPAL APPROVAL. The District must obtain approval 18 from the governing body of the city for the issuance of bonds for an improvement 19 project. 20 SECTION 25. INITIAL DIRECTORS. (a) The initial board consists of the 21 following persons: 22 Pos. MEMBERSHIP IN CHARITABLE ORGANIZATIONS. The 7 district may join and pay dues to an organization that enjoys tax-exempt status under 8 Sections 501(c)(3), (4), or (6), Internal Revenue Code of 1986, as amended, and that 9 performs services or provides activities consistent with the furtherance of the purposes 10 of the district. An expenditure of public money for membership in the organization is 11 considered to further the purposes of the district and to be for a public purpose. 12 SECTION 27. ELIGIBILITY FOR INCLUSION IN SPECIAL ZONES. 13 All or any part of the area of the district is eligible, notwithstanding other statutory 14 criteria, to be included in a tax increment reinvestment zone created by the city under 15 Chapter 311, Tax Code, or included in a tax abatement reinvestment zone created by the 16 city under Chapter 312, Tax Code. All or any part of the area of the district is also 17 eligible to be included in an enterprise zone created by the city under Chapter 2303, 18 Government Code. 19 SECTION 28. ECONOMIC DEVELOPMENT PROGRAMS. The district may 20 establish and provide for the administration of one or more programs, including 21 programs for making loans and grants of public money and providing personnel and 22 services of the district, to promote state or local economic development and to stimulate 23 business and commercial activity in the district. The district has all of the powers and 24 authority of a municipality under Chapter 380, Local Government Code. 25 SECTION 29. LEGISLATIVE FINDINGS. The legislature finds that: 26 (1) proper and legal notice of the intention to introduce this Act, 27 setting forth the general substance of this Act, has been published as provided by law, 28 and the notice and a copy of this Act have been furnished to all persons, agencies, 29 officials, or entities to which they are required to be furnished by the constitution and R2005-09 West Ranch Exhibit A 23 1 laws of this state, including the governor, who has submitted the notice and Act to the 2 Texas Commission on Environmental Quality; 3 (2) the Texas Commission on Environmental Quality has filed its 4 recommendations relating to this Act with the governor, lieutenant governor, and 5 speaker of the house of representatives within the required time; 6 (3) the general law relating to consent by political subdivisions to the 7 creation of districts with conservation, reclamation, and road powers and the inclusion 8 of land in those districts has been complied with; and 9 (4) all requirements of the constitution and laws of this state and the 10 rules and procedures of the legislature with respect to the notice, introduction, and 11 passage of this Act have been fulfilled and accomplished. 12 SECTION 30. EFFECTIVE DATE. This Act takes effect immediately if it 13 receives a vote of two-thirds of all the members elected to each house, as provided by 14 Section 39, Article III, Texas Constitution. If this Act does not receive the vote necessary 15 for immediate effect, this Act takes effect September 1, 2005. 16 R2005-09 West Ranch Exhibit A 24
