I, RAQUEL MARTINEZ, THE DULY APPOINTED CITY SECRETARY OF THE CITY OF FRIENDSWOOD,
HARRIS COUNTY AND GALVESTON COUNTY, TEXAS, DO HEREBY CERTIFY AND ATTEST THAT AS
PART OF MY DUTIES,I DO SUPERVISE AND ACT AS LAWFUL CUSTODIAN OF THE RECORDS OF THE CITY
OF FRIENDSWOOD; AND THAT THE ATTACHED DOCUMENT IS A TRUE AND CORRECT COPY OF

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OFFRIENDSWOOD, TEXAS, SUSPENDING THE DECEMBER
199 2025, EFFECTIVE DATE OF TEXAS-NEW MEXICO POWER
COMPANY'S (TNMP'S) REQUESTED RATE CHANGE TO
PERMIT THE CITY TIME TO STUDY THE REQUEST AND TO
ESTABLISH REASONABLE RATES; APPROVING CONTINUED
COOPERATION WITH OTHER TNMP CITIES; HIRING LLOYD
GOSSELINK ROCHELLE & TOWNSEND, P.C., AND
CONSULTANTS TO NEGOTIATE AND DIRECT ANY
NECESSARY LITIGATION AND APPEALS; REQUIRING
REIMBURSEMENT OF CITIES' RATE CASE EXPENSES;
REQUIRING NOTICE OF THIS RESOLUTION TO TNMP AND
LEGAL COUNSEL FOR THE GULF COAST COALITION OF
CITIES; AND PROVIDING FOR AN EFFECTIVE DATE.
ADOPTED BY THE CITY COUNCIL AT ITS MEETING HELD ON MONDAY, DECEMBER 1, 2025.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
FRIENDSWOOD,TEXAS,CASTING ITS BALLOT FOR THE ELECTION OF
UP TO TWO CANDIDATES TO THE BOARD OF DIRECTORS OF THE
GALVESTON CENTRAL APPRAISAL DISTRICT; AND PROVIDING FOR
THE EFFECTIVE DATE THEREOF.

WHEREAS,the Chief Appraiser of the Galveston Central Appraisal District has delivered
to the Mayor of the City of Friendswood the names of those persons duly nominated as candidates
to serve on the Board of Directors of the Galveston Central Appraisal District; and
WHEREAS,the Board of Directors of the Galveston Central Appraisal District consists of
nine(9)total members,comprised of the following:
➢ five(5)appointed members who serve staggered terms,beginning January 1,2025,
➢ three(3)elected members,and
➢ the Tax-Assessor Collector, as an ex ofHcio member; and
WHEREAS, the City of Friendswood is a voting unit entitled to vote for up to two (2)
candidates from a ballot submitted by the Galveston Central Appraisal District, if so desired; and
WHEREAS,the City deems it appropriate and in the public interest to cast its votes for the
candidate(s)of its choice to fill such positions;NOW THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FRIENDSWOOD,
STATE OF TEXAS:
Section 1. That the facts and recitations set forth in the preamble of this resolution be,
and they are hereby adopted,ratified,and confirmed.
Section 2. That the City of Friendswood hereby casts its 129 votes for the following
individual(s)to fill positions on the Board of Directors of the Galveston Central Appraisal District:

Section 3. That the Mayor be, and he is hereby, authorized and directed to deliver or
cause to be delivered a certified copy of this resolution along with the ballot, which is attached
hereto as Exhibit "A" and incorporated herein for all intents and purposes,to the Chief Appraiser
of the Galveston Central Appraisal District on or before December 14,2025.
Section 4. This resolution shall take effect immediately from and after its passage by
the City Council of the City of Friendswood.
