Contract to Construct Road within City Limits
This Agreement("Agreement") is entered into pursuant to the authority granted in Local
Government Code 271.101, Subchapter F. The Agreement is entered into by and between the
City of Friendswood (the "City") and the Galveston County Consolidated Drainage District
("GCCDD")(collectively referred to herein as the"Parties").
WHEREAS, the GCCDD planned to construct a private drive into its new facilities
located at 1305 West Parkwood, and
WHEREAS, the GCCDD required access to existing drainage facilities on the opposite
side of the City's property located at 1600 Whitaker Drive, and
WHEREAS, the City planed to construct a new municipal facility at 1600 Whitaker
Drive on the southwest side of the above properties that required public access to West Parkwood
(FM 528), and
WHEREAS, the Parties desire to share the costs to construct the necessary improvements
to gain access to both properties, to provide for the drainage of the GCCDD's property, to the
mutually benefit of both Parities; now,therefore,
The Parties do hereby agree as follows:
I. Preamble
1.1 The GCCDD owns and agrees to dedicate a sixty-foot wide by 660 foot long strip of
land in fee simple to and for the exclusive use as a Public Right of Way as shown
and called out in the plat of these properties, titled Proposed Laurence Cline
Subdivision.
1.2 The GCCDD installed an eight(8) inch water main lateral under FM 528 at the cost
of$ 56,500.00 and seeks to cost share this amount with the City on a 50%basis. (see
Exhibit A)
1.3 The City purchased the ten (10) acre tract immediately west of the access easement
and platted this tract with the access easement and the GCCDD's parcel. The City
spent$2,800.00 in platting fees (Item 3) and seeks to cost share this amount with the
GCCDD on a 50%basis. (see Exhibit B)

1.4 1.4 The City grants to the GCCDD in the plat of these properties titled Proposed
Laurence Cline Subdivision a 16 foot wide by 435.6 foot long drainage easement
across its property for the exclusive benefit of the GCCDD. The City seeks to
recover the cost of this easement valued at $2.76 per square foot for a total of
$19,236.00
1.5 The City contracted with DeAnda Engineering for design, engineering and
construction plans and specifications for the construction of Whitaker Drive, a public
street. The total cost of this contract is $8,720.00 plus reimbursables. The City seeks
to cost share this amount with the GCCDD on a 50%basis. (see Exhibit C)
1.6 The cost to construct the public street, Whitaker Drive, hereafter referred to as the
Project, under the authority of this agreement, is estimated to be$152,088.25 The City
and the GCCDD jointly agree to cost share this amount and do here by agree to share
any additional costs, overruns, and change orders involved in the undertaking and
completion of this project on a 50%basis.
1.7 The parties agree that in all matters arising from this agreement, the City shall have
the power to act on behalf of the cooperating governmental entities that are parties to
this Agreement.
1.8 The parties further agree that all activities undertaken in the name of this agreement
shall be as directed by the City's Capital Improvements Coordinator, who shall direct
activities under this agreement, authorize and make payments on behalf of, and be
responsible for vendor, supplier and contractor compliance with agreements on
behalf of the Parties to this agreement.
IL Payment
2.1 The Parties agree to share Pre-construction costs of the project, the construction of
Whitaker Drive, equally. Pre-construction costs, enumerated in Exhibit D, are
included in this cost sharing agreement.
2.2 The Construction Costs for the construction of Whitaker Drive were expected to be
$152,088.25 at the time of signing this agreement. These costs will not be totally
identified until the project has been completed and accepted by both parties. Both
Parties agree to share these costs equally as specified in Exhibit D.
2.3 Both Parties agree that the City's Capital Projects Coordinator shall administer the
contract for the construction of the street and shall record and report upon demand a
current state of accounts and shall issue that statement of accounts to both Parties
when requested by either to do so.
2.4 It is agreed that the City shall cause the project to be bid through its public bidding
system and shall award the contract to the lowest responsible bidder in accordance
with its normal contracting procedures. The City shall administer the contract for the
construction of the street through its Capital Projects Division of Public Works
which shall be empowered to act for and on behalf of the GCCDD in all matters
arising out of this agreement.
2.5 The City shall make payments to the Contractor in accordance with the agreed
Schedule of Values, as agreed to in the contract for construction and shall invoice the
GCCDD for its share of the amounts due and payable under this agreement.
GCCDD's payments to the City are due within thirty (30) days from receipt of the
invoice.
2.6 As per Exhibit D the City's share of the costs for this project, based on cost estimates
at the time of signing, is $101,496.13. As per Exhibit D the GCCDD's share of the
costs for this project, based on cost estimates at the time of signing, is $50,592.13
III. Additional Overruns
3.1 If additional cost overruns develop during construction of the Project the
parties will negotiate in good faith and divide such costs among themselves
in a manner they deem equitable.
IV. General Provisions
4.1. With no provision in this Contract to the contrary withstanding, a) in no event shall
any provision of this Contract be construed to impose, create or increase any
liability to any third party whatsoever; and b) in no manner shall this Contract be
construed to operate for the benefit of any third party.
This Agreement supercedes all previous agreements and understanding concerning
the subject of this Agreement between the parties. In the event of an irreconcilable
difference between this and any previous agreement, the terms of this agreement
shall govern.
4.2 Each party represents that it has full authorization to enter in to this Agreement as
required by law.
4.3 This Agreement may be executed in multiple originals.

Dear Mr. Jones:
Pursuant to your request, we are hereby providing the following information:
Cost of Water Line Expansion $56,500.00
Land Cost-660 LF X 60FT x $0.60/SF $23,760.00
Total Cost $77,260.00
These are the amounts the District has paid to date. The large increase in cost of the water line
was due to the fact of the underground conditions existing under,FM 528. This caused the bore
of the water line to be lowered to approximately a depth of sixteen(16') feet.
We would recommend that the City and the Board of Directors hold direct discussions regarding
the exact cost sharing for the roadway and related facilities.

Proposal for Civil Construction Plans
Dear Mr. Jones:
We appreciate the opportunity to submit a proposal for civil/municipal engineering services to prepare
construction plans for the above describe roadway,to serve the proposed Friendswood Public Safety
Building project. It is our understanding that the City of Friendswood (City) already has a Texas
Department of Transportation (TxDOT) permit to connect the proposed roadway to FM 528, and that
the roadway will be drained by means of roadside ditches to the TxDOT drainage system in FM 528.
The site construction plans will be prepared in accordance with City, Galveston County and TxDOT
regulations and requirements, and shall include but not be limited to; pavement and roadside ditch
grading;drainage calculations; storm water pollution prevention plans; traffic control plan to construct
roadway connection to FM 528; and necessary construction details; for a fee of $7,470.00 (Seven-
Thousand-Four Hundred-Seventy and No/100 Dollars.
The construction plans shall be substantially completed by March 15, 2004 for bidding purposes.
Separate engineering fees shall be negotiated if necessary for; subdivision platting; topographic
mapping; off-site plans; 100 year flood plain mitigation plans; volume reproduction of plans;filing fees;
construction permit fees; abstracting fees; formal bidding and construction specification documents;
support services during bidding; and support services (inspections) during construction.
Please review the proposal herein and enclosed man-hour spread sheets and advise us if you have
