EASEMENT AGREEMENT
Preamble

This Agreement is made on the 3 day of i'e- i"1n CAI, , 1999, at Friendswood,
Galveston County, Texas, between COASTAL BEND PROPERT ' DEVELOPMENT, LLC
("Grantors")and CLEAR CREEK DRAINAGE DISTRICT ("Grantee"),whose mailing address
is P. O. Box 607,Fnendswood, Texas 77549-0607.
Grant of Easement
1 For the consideration described in Paragraph 2 below, Grantors grant to Grantee an easement
and right-of-way upon and across the following descnbed property(the"Property")of the Grantors
as descnbed in Exhibit"A-1" attached hereto and made a part hereof
Consideration
2. This easement is granted in consideration of the Grantee's payment to Grantors of the sum of
TEN and NO/100($10.00)DOLLARS, and other valuable consideration,the receipt of which is
acknowledged
Character of Easement
3. This instrument grants an easement in gross
Location of Easement
4. The easement and right-of-way shall be located in the area descnbed in the attached Exhibit"A-
2"

Purpose of Easement
5. This right-of-way easement, with its nghts and privileges, shall be used only for the purpose
of placing,constructing, operating,repairing, maintaining, rebuilding,replacing,relocating, and
removing drainage improvements.
Duration of Easement
6. This easement shall be perpetual
Warranty of Title
7. Grantors and Grantors' heirs,personal representatives, successors, and assigns are and shall be
bound to warrant and forever defend the easement and rights conveyed in this instrument to
Grantee and Grantee's heirs,personal representatives,successors and assigns, against every person
lawfully claiming or to claim all or any part of the interest in the Property
Exclusiveness of Easement
8 The easement, nghts, and privileges granted by this conveyance are exclusive, and Grantors
covenant not to convey any other easement or conflicting rights in the area covered by this grant.
Indemnity
9 Grantee,to the extent authorized by the Constitution and laws of the State of Texas, shall hold
harmless, defend, and mdemmfy Grantors against any suits, liabilities, claims, demands, or
damages,mcludmg but not limited to personal injuries and attorney's fees, ansmg from Grantee's
exercise of easement rights granted by this instrument.

Temporary Easements
10 In addition to the right-of-way easement located as specified in Paragraph 4 above, Grantee
shall have the right to use as much of the surface of the Property adjacent to the easement as may
be reasonably necessary for Grantee to construct and install the contemplated drainage
improvements in the easement. On completion of construction and mstallation, Grantee shall
replace and restore all fences,walls,or other structures that may have been relocated or removed
during the construction period In addition,Grantee shall pay Grantors reasonable compensation
both for fences,walls, or structures that may not be replaceable and for all vegetation and crops
that are damaged or destroyed during construction
Encroachments
11. Grantee shall have the right to cut and trim trees or shrubbery that may encroach upon the
easement area described m Paragraph 4 of this Agreement Grantee shall dispose of all cuttings
and trimmings in a proper and legal manner
Rights Reserved
12 Grantors retain,reserve,and shall continue to enjoy the use of the surface of the easement area
described m Paragraph 4 of this Agreement for any and all purposes that do not interfere with and
prevent Grantee's use of the easement This includes,without limitation,the right to build and use
the surface of the easement area for walks, gardens, lawns or planting areas, and other like uses.
Entire Agreement
13 This Agreement contains the entire agreement between the parties relating to its subject
matter. Any oral representations or modifications concerning this Agreement shall be of no force
and effect. Any subsequent amendment or modification must be in writing and agreed to by both
parties.
