Masterson Survey Asset Location: Galveston County, Texas Inspection Date: March 10, 1993 by Steve Thompson, of ENSOURCE CORPORATION. Brief Asset Description: The subject property consists of approximately 30 acres of land being, part of a 67.354 acre tract of land out of the B. T. Masterson Survey located partly in Brazoria County, Texas and partly in Galveston County, Texas and more completely described by the meets and bounds included as Appendix "A". Site Characterization: The subject property is essentially flat with an elevation of approximately 35 to 40 feet above mean sea level and is located in the Hastings Oil Field. Doc 92"2 2 Aerial Photographs: -Aerial photographs for the years 1971, 1975, 1980 and 1985 (scale l" = 3,000') were obtained from -Adams Aerial Surveys, Inc. in South Houston, Texas. All photographs were obtained as stereo pairs.A review of the historic aerial photographs indicates the property has been vacant land since at least 1971.There was no evidence of prior development. During this period the property has been improved withvarious oil/gas production related surface facilities including well locations, surface facilities, surfaceimpoundments, storage tanks and oil processing facilities. The surrounding property includes vacant land,light industrial facilities, oil/gas production and processing facilities and residential home sites. Whatappear to be remnants of surface impoundments or tank facilities on both the subject property andadjacent tracts are visible on the photographs. The area contains many above and below groundpipelines, some of which are visible on the photographs.Site Visit: The subject property was inspected on March 10, 199'3 by Mr. Steve Thompson of ENSOURCE CORPORATION. Mr. Thompson walked the perimeter of the property and crossed the property diagonally. The property was covered with dense brush, vines and small trees. Site drainage was poor and standing water was noted over much of the site. Two well locations were observed along the access road. These wells were identified as C. H. Blount, et ux Well No. 5 and C. H. Blount Well No. I. Well No. 5 was not in service. An area of barren soil was observed north of Well No. I. Two empty 55 gallon drums were observed on the east perimeter of the well pads for Well No. I. A transformer and switching facility containing three (3) transformers was also observed. None of the transformers were identified as containing polychlorinated biphenyls (PCB's). Several above and below ground pipelines were observed in the vicinity of the surface facilities relating to oil and gas production. An oil/gas/water separator was located on the western portion of the property. This facility was observed to be leaking at two locations and there was an area of barren soil down gradient of the facility. Access to both wells and the separator facility was uncontrolled. None of the valves had locking mechanisms and there was no spill control system around the separator system. An above ground storage tank of approximately 25,000 gallon capacity was located north of the separator facility. Access to the tank was uncontrolled and there was no spill control system around the tank. There were several deposits of trash, debris, trees, construction materials and other wastes around the perimeter of the property along the access roads. The total volume of trash is estimated to be 100 cubic yards. · There were no buildings -noted on the property.- -The property is located in the Hastings Oil Field. The property is bordered on the south by residentialproperty and vacant land. Vacant land borders the property .on the east and west. Light commercial,residential property and vacant land borders the site to the north. Surrounding properties in all directionshave evidence of oil/gas production related activities.Doc 92442 - - - � - I.. ,._ r-3 Special Resources: National Wetlands Inventory Maps, Friendswood, Texas and Algoa, Texas, prepared by the United States Department of the Interior were reviewed to determine if the area has been classified as wetlands. No portion of the property was shown on the maps as havin g been classified as wetlands. These maps are prepared primarily by stereoscopic analysis of high altitude aerial photographs. Wetlands are identified on the photographs based on vegetation, visible hydrology and geography. The aerial photographs typically reflect conditions during the specific year and season when they were taken. In addition, there is a margin of error inher�nt in the use of the aerial photographs. Thus, a detailed on the ground and historical analysis of a single site may result in a revision of the wetland boundaries established through photographic interpretations. In addition, some small wetlands and those obscured by dense forest cover may not be included. The maps utilized in this investigati on were prepared from 1979 aerials. Given the site conditions, drainage patterns and vegetative cover noted during the site visit and the inherent limitations described above, these maps should not be considered as definitive of current conditions. A Gulf Coast Ecological Inventory Map produced by the U.S. Fish and Wildlife Service was consulted to determine the status of the project area with regard to species with special status. The Houston, Texas Sheet was prepared in 1982 and may not necessarily reflect current conditions. Based on a review of this document, the property is not in an area designated as bein� occupied by species of special interest. Agency Review: A review of available federal, state and local agency records revealed that the Hastings Oil Field is included on the CERCLIS data base. The records maintained in the CERCLIS data base are a compilation of those facilities which the Environmental Protection Agency has identified as actual or suspected uncontrolled releases of hazardous substances, contaminants or pollutants. The subject property is located in the Hastings Oil Field. Conclusions: Based on a review of current site conditions, historical aerial photographs and the fact that the property is located in an old heavily developed oil/gas field, the following concerns are noted. Doc 92442 I.Pits and other impoundments associated with drilling and production activities canproduce ground water contamination.2.Improper closure of these facilities can result in potentially toxic waste remaining on theproperty.3.Leakage from pipelines, storage tanks and other surface facilities can result in surface orsubsurface soil and water contamination. "'- - 4.Improper sealing of penetrations into or through the drinking water aquifer can result incontamination of water supplies from either surface or near surface migration downwardor upward migration from higher pressure zones underlying the drinking water aquifers.5.The absence of access control to the active and inactive surface facilities on the propertyincrease the risk of vandalism and associated releases.6.The absence of spill control around storage and processing facilities on the site increasethe risk of releases from spills and leaks.7.There is evidence of improper disposal of trash, debris, construction materials, tires andempty containers along the access roads adjacent to and crossing the property.8.There is evidence of contaminated soil and continuing releases from the separator facilityon site. There is evidence of contaminated soil north of C. H. Blount Well No. 1.Recommendations: Doc 92442 1.Perform a wetlands evaluation to assess the potential for wetlands on the property.2.Contact the Texas Parks and Wildlife Department to confirm the absence of species ofspecial status.3.Remove and properly dispose of the trash and debris dumped on the site.4.If a potable water well is to be installed to supply drinking water:a)identify all penetrations at the drinking water aquifers on and within one-half(1/2) mile of the subject property;b) c) review all installation and closure records for the penetrations identified aboveto assess the adequacy of the installations and closure procedures to protect thedrinking water aquifer; andconduct periodic analysis of the water supply to assess the quality of the supply.Analysis should, at a minimum, include all drinking water quality parameters anda gas chromatography-mass spectroscopy scan for organic contaminants,including methane.5.Repair the leaks at the separator facility and install spill containment around the storagetank and separator facility.6.Remove the contaminated soil down gradient of the separator facility and the well site,replace with clean fill and seed the area. - - - - -- - - - ,-- 7.Conduct exploratory borings/excavations in the areas identified in Attachment "D". Soilsamples should be collected and analyzed for the following indicator parameters: 8. a)Visual inspection for indications of the presence of waste materials; b)Total Organic Halogens (TOX); c)Total Petroleum Hydrocarbons (TPH); d)Total Metals; ande)Chloride. Prior to excavation, grading or subsurface activity, locate and determine the status of all underground pipelines and other utilities. Many of the transfer lines associated with oil/gas production activities may be fiberglass reinforced plastic lines which could easily be damaged. 2.0 Introduction Doc 92442 2.1 Purpose and Organization of Report 2.1.a. The information used in the preparation of this Phase I Environmental Site Assessment was accumulated during a site visit; a review of historical aerial photographs; published literature and a review of federal, state and local regulatory agency records, maps and publications. This assessment did not include a wetlands survey or critical habitat review. 2.2 Site Background The subject property consists of approximately 30 acres of land being part of a 67 .354 acre tract of land out of the B. T. Masterson Survey located partly in Brazoria County, Texas and partly in Galveston County, Texas and more completely described by the meets and bounds included as Appendix "A". --. •·---. . -. ---------. -. ,~ '- 3.0 Study Area Investigation: Physical Characteristics 3.1 3.2 3.3 Doc 92442 Topography The subject property is essentially flat with an elevation of approximately 35 to 40 feet above mean sea level, as seen on the Site Location Map, Figure 1. This map was prepared from the United States Geologic Survey 7.5 minute Friendswood, Texas and Algoa, Texas Quadrangle Maps. Soils/Geology Geologic units containing fresh to slightly saline water in the area are the Goliad Sand, Willis Sand, Bently Formation, Montgomery Formation, Beaumont Clay, and the Quaternary Alluvium. These units range in age from Pliocene to Holocene (fable I). One or more of these units may be absent at any specific location due to non-deposition or erosion. The formations are similar in composition. Generally, sand, silt and clay or shale compose most of the sediments. Lesser amounts of gravel and other materials such as marl, shell, and lignite are also present. Large quantities of salt occur in the form of salt domes. Minerals such as limestone, anhydrite, gypsum, and sulfur are associated with the salt. The formations dip toward the Gulf at an angle greater than the slope of the land surface; therefore, they occur at progressively greater depths and thicken in a gulfward direction (Reference 1). The location of the subject property is shown on the Area Geologic Map Figure 2 (Reference 2). Surface Water Hydrology Storm water drainage onto the site is minimal due to the near level topography in the area. Drainage patterns on and off the site are not well defined and much of the site had standing water at the time of the site visit. A large surface impoundment in located on the property adjacent to the west property boundary. Cowart Creek is located approximately one-half (1/2) mile north of the site and Chigger Creek is located approximately 1,000 feet southeast of the site. TABLE 1. GEOLOGIC ATLAS OF TEXAS, HOUSTON SHEET REVISED 1982 ENSOURCE - 3.4 3.5 - Doc 92442 r--8 Hydrogeology The Chicot and Evangeline aquifers are the only hydrologic units bearing fresh (less than 1,000 milligrams per liter dissolved solids) or slightly saline water (1,000 to 3,000 milligrams per liter dissolved solids) in the project area. These aquifers are composed of gravel, sand, silt and clay of Pliocene, Pleistocene, and Holocene age. The upper beds of the Evangeline aquifer contain fresh water in the vicinity of the site. The Evangeline, which contains fresh water to depths of more than 1,800 feet below sea level, has as much as 415 feet of sand containing fresh water. The average permeability is about 250 gallons per day (gpd) per square foot. The Chicot aquifer is divided into a lower unit and an upper unit. The lower unit contains 100 to 290 feet of fresh water sand in the project area. The upper unit has less than 100 feet of fresh water sand at most locations and less than 50 feet in much of the surrounding area. Special Resource Considerations The following considerations were reviewed to assess the presence or potential presence of special resources. 3.5.a. At the time of the site visit, were there any coastal areas, rivers, streams, lakes, or other bodies of water on or immediately adjacent to the subject property? .X. All photographs were obtained as stereo pairs. 1971 Aerial Photograph: This photograph (Appendix "B ") shows the subject property as vacant land with the following improvements: 1.A tank and impoundment near the access road along the northeastboundary;2.Three well locations located adjacent to the access road along thesoutheast property boundary a..,d the east west section of the access road;and3.A tank off the access road near the west property boundary.There are areas of limited vegetation around both the tank along the west boundary and the impoundment area. There is an area approximately 300 feet in diameter along the western property boundary which has a significantly different appearance from the balance of the undeveloped area and may represent the topographic low point of the site or may be the remnant of an old impoundment. A similar but less pronounced area is visible along the southwest access road halfway between the two well locations. There appears to be a pipeline right of way running northeast from the tank on the west property boundary. Adjacent properties are all vacant land with significant oil/gas related development. 1975 Aerial Photograph: This photograph (Appendix "B") appears similar to the condition described above with the following exceptions: 1.The impoundment area along the northwest access road does not appearto contain liquids and may have been back filled;2.The pond area around the most southerly well location appears to havebeen expanded; and3.An additional pipeline right of way now connects to the tank area on thewestern property boundary. Access to the transformers and switching equipment is controlled by a 6 foot chain link fence topped with three strands of barbed wire. See site photographs in Appendix "F". 15 5.4.s. At the time of the site visit was there evidence of above or below around pipelines on or adjacent to the property? X Yes _ No If yes, elaborate Several above and below ground pipelines were noted in the vicinity of the well locations and separator facility. Numerous pipelines associated with the production of oil and gas have been installed in the area. Many of these lines are no lonaer in service and their locations are not marked. No attempt was made to locate all pipeline on the property. 6.0 Review of Environmental Databases Established lists were checked to determine if the site had been reported as having environmental concerns. The following paragraphs discuss the agencies and lists consulted: 6.1 CERCLA Database (CERCLIS List) One of the statutory features of the Comprehensive Environmental Response, Compensation and Liability Act (CERCLA) is the requirement and funding of remedial actions for release or threat of release of hazardous substances, pollutants or contamination which may present imminent or substantial damage to public health and welfare. This list is a compilation of those facilities which the EPA has identified as having known or suspected uncontrolled releases of hazardous substances, contaminants or pollutants. The list also encompasses all abandoned hazardous waste sites. The Hastings Oil Field appears on the CERCLIS and the subject property is located in the Hastings Oil Field. 6.2 National Priority List (NPL) After a facility has been identified as a CERCLA Site, the EPA conducts an assessment of the property. If the assessment confirms the presence of contamination, a Hazard Ranking Package (HRP) is completed for possible ranking on the NPL. The decree of contamination determines whether the site appears on the NPL List or is deferred to the state for further action under state programs. The NPL List appears in the Code of Federal Reaulations, 40 CFR, Parts 190 to 399. The site did not appear on the NPL List. No properties adjacent to or within one half mile of the site appear on the NPL List. Doc 92442 16 6.3 RCRA Notifier List (RCRIS Notifiers) The Resource Conservation and Recovery Act (RCRA) was enacted to regulate facilities that generate, treat, store, transport or dispose of hazardous and/or solid waste. These facilities must file notification forms with the EPA, who maintains the records in the RCRIS Notifiers database. The site did not appear on the RCRIS Notifiers List. No properties adjacent to or within one-half mile of the site appear on the RCRIS Notifiers List. 6.4 RCRA Violations and Corrective Actions List (RCRIS Evaluations/Violations) The EPA maintains tiles on sites which have been found to be out of compliance with regulations pursuant to RCRA, identified by the "class of violation" on the RCRA Violations and Corrective Actions List. This database provides information concerning types of violations, enforcement actions, and date of final compliance. The subject property did not appear on the RCRA Violation and Corrective Actions List. No property adjacent to or within one-half mile of the site appeared on the RCRA Violation and Corrective Actions List. 6.5 Registered Storage Tank List Owners of Petroleum Storage Tanks (PST's) are required to register their PST's, along with construction information concerning the PST system, with the Texas Water Commission. The subject property did not appear on the Registered Storage Tank List. No property adjacent to or within one-half mile of the site appeared on the Registered Storage Tank List. 6.6 Leaking Registered Storage Tank Facilities (LRST) List The Leaking Registered Storage Tank Facilities (LRST) List consists of leaking registered storage tank systems which have reported releases greater than 25 gallons. This list is maintained by the Texas Water Commission under delegation from the EPA. The site did not appear on the LRST list. No property adjacent to or within one-half mile of the facility appeared on the LRST List. 6.7 Toxic Release Inventory Under SARA Title 3, Section 313, the EPA is required to establish an inventory of routine toxic chemical emissions from certain facilities. The reporting requirement applies to owners and operators of facilities that have 10 or more employees and Doc 92442 .... 7.0 - - Doc 92442 17 manufacrure, process, or otherwise use one or more of 300 specific toxic chemicals in excess of threshold quantities. The subject property did not appear on the Toxic Release Inventory. No property adjacent to or within one-half mile of the facility appeared on the Toxic Release Inventory. Summary and Conclusions 7.1 Summary 7 .1.a. Nature and Extent of Contamination There was eviden ce of improper disposal of trash, debris, construction materials, tires and empty containers along the access roads adjacent to and crossing the property. Soil apparently contaminated by spills or leaks from the separator facility was observed down gradient of that facility. An area of soil apparently contaminated from leakage or spills associated with the piping from C. H. Blount Well No. 1 was observed north of the well location. Both areas were devoid of vegetation. Potential subsurface contamination may exist in areas of closed impoundments or past or present surface facilities. 7.1.b. Fate and Transport The property is essentially flat with poorly defined drainage. Any surface spills would tend to accumulate on site and discharge as sheet flow primarily toward the south. Subsurface contamination of the water bearing sands would tend to flow south southeast unless the narural flow direction was interpreted by significant ground water pumping. 7 .2 Conclusions and Recommendations 7 .2.a. Data Results and Limitations Because of the long history of petroleum production related act1v1t1es in the vicinity, the site has a number of potential environmental liabilities including the following: 1.Closed pits or other impoundments on or adjacent to the property could contain potentially toxic waste and may have caused or be contributing to surface or subsurface soil and water contamination. ,-- - ,_ Doc 92442 2. 3. 18 Leakage from pipelines, storage tanks and other surface facilities can result in surface or subsurface soil and water contamination. Improper sealing of penetration through the drinking water aquifer can result in contamination of water from either surface or near surface migration downward or upward migration from higher pressure zones underlying the drinking water aquifers. 4.The absence of access control to the active and inactive surfacefacilities on the property increase the risk of vandalism andassociated releases.5.The absence of spill contaminant around storage and processingfacilities on site increases the risk of releases from spills orleaks.6.There is evidence of improper disposal of trash, debris,construction materials, tires and empty containers along theaccess roads adjacent to and crossing the property.7.There is evidence of contaminated soil around the separationfacility and the C. H. Blount Well No. 1.This Phase I Environmental Site Assessment was prepared based on condition and data available at the time of the site visit and does not take into account any subsequent changes. If additional information is discovered following submission of this report, it should be forwarded to ENSOURCE CORPORATION for review and possible reevaluation of recommendations and conclusions. Under no circumstances does ENSO UR CE CORPORATION accept responsibility for conditions at the subject property, whether those conditions are identified in this report or not. 7.2.b. Recommendations Concerning Additional Investigations 1.Perform a wetlands evaluation to assess the potential for wetlands on theproperty.2.Contact the Texas Parks and Wildlife Department to confirm the absenceof species of special status.3.Remove and properly dispose of the trash, debris and other wastes on thesite.-.. -. -· ---------. --. ·-·-�··-··�-- .... - Doc 92442 19 4.If a potable water well is to be installed to supply drinking water,a) b) Identify all penetrations at the drinking water aquifers on and within one-half (1/2) mile of the subject property, Review all installation and closure records for the penetrations identified above to assess the adequacy of the installations and closure procedures to protect the drinking water aquifer, and c)Conduct periodic analysis of the water supply to assess thequality of the supply. Analysis should at a minimum, include alldrinking water quality parameters and a gas chromatography­mass spectroscopy scan for organic contaminants, includingmethane.5.Repair the leaks at the separator facility and install spill containmentaround the storage tank and separator facility.6.Remove the contaminated soil down gradient of the separator facility andthe well site, replace with clean fill and seed the area.7.Conduct exploratory borings/excavations in the areas identified inAttachment "D". Soil samples should be collected and analyzed for thefollowing indicator parameters:8. a)Visual inspection for indications of the presence of wastematerials;b)Total Organic Halogens (TOX);c)Total Petroleum Hydrocarbons (TPH);d)Total Metals; ande)Chloride.Prior to excavation, grading or subsurface activity, locate and determine the status of all underground pipelines and other utilities. REJECT ERNEST MONEY CONTRACT AND AUTHORIZE TAX OFFICE TO REBID THE RESALE OF 38.886 ACRES FOR TAX PURPOSES November 1, 1993 We received a letter dated September 21, 1993, from Mr. Mike Dar low, delinquent tax attorney with Perdue, Brandon, Fielder, Collins & Mott regarding a proposal from Mr. Khonsari, the low (and only) bidder for the 38.8-acre tract taken for delinquent taxes. The letter (sent to you earlier and enclosed again) explained a proposal by Mr. Khonsari to essentially renegotiate the earnest money contract for the sale of the property. We sent a copy of the letter to FISD, and subsequently held a meeting with Mr. Dar low, FISD representatives, and Becky Carbone of the tax office. Following the meetings, it was evident the original contract (copy attached) expired in July, 30 days after approval was granted by the city on June 7. Since the city is the managing partner in the sale of the land, we felt it appropriate to get the FISD Board's opinion on the matter before bringing the issue for your consideration. It seems there are two basic alternatives: 1. 2. Renegotiate the earnest money contract as proposed· by Mr. Khonsari. Mr. Khonsari was the only bidder on the property. He has had ample opportunity to close, but is understandably concerned about the environmental issues. As you can see in his proposal, Mr. Khonsari wishes to spend additional money conducting a Phase II Environmental study. Phase II would study more specifically the environmental problems the Phase I study indicated are likely present. Should the environmental problems be significant, Mr. Khonsari is still not bound by the contract and can pull out of the deal. Should he not find any problems of significance, Mr. Khonsari can close on the property, and the taxing entities would still receive the total amount of tax money owed. Declare the bid expired and authorize the tax office to readvertise. Technically, the earnest money contract from Mr. Khonsari has expired so we believe you may not have to act, but the process will be cleaner. After this length of time, there may be other interested parties. If not, Mr. Khonsari can bid his amended proposal again and no harm done. If there is another bidder, that bid can be analyzed and a decision made, possibly giving a choice. / � / q)\ ,,\' �· __... We are becoming more concerned about the potential liability to the taxing entities. The more studying done on the property, the more likely the taxing entities cannot sell it, should adverse conditions be found. You can see from the attached letter from Mr. Dar low, they have no objections to rebidding due to the age of the earnest money contract. You can also see from the letter from Dr. Gary Clay that FISD believes the property should be rebid. With a rebid, the conditions of sale can be more fully stated in an attempt to further remove the taxing entities from liability. Staff concurs. The Board fully understands the City is the legal entity responsible for any action regarding disposition of the property. The Board reaffirmed its position that the District has no interest in the property for any school uses. The Board did have concerns about the revised contract. These included: the proposed reduction in the sale price from the price originally bid, the relatively small amount of earnest money submitted, the lack of language related to release of liability, the lack of reference to the type of deed to be granted, and the apparent expiration of the contract given the time between the offer and the present time. The Board voted to recommend that the City Council reject the proposed contract, and the property be offered for sale again through the bidding process. RE: City of Friendswood, et al vs. Galli, Cesare, Jr.; Cause No. 92TX0073 Dear Ron, In early 1993, we received an offer to purchase the Galli 38-acre tract from Kazeem Khonsari for $79,000.After some time and consideration, the City, for itself and as trustee for the other taxing authorities, approved the sale. Since that time, .._., the tax office and I have spoken numerous times with David O'Farrell, the prospective buyer's real estate agent. Our conversations have centered around the level-one environmental study and the potential need for a level-two study and possible remediation. The buyer has indicated a willingness to absorb those costs and in exchange, would like the purchase price to be lowered to reflect those costs. Subject to City Council's approval, both the tax office and I have agreed to such a reduction. Mr. O'Farrell has prepared a new earnest money contract, which I have reviewed and modified. Essentially, this contract would allow the price to go down in proportion to the costs of the level two and some portion of the remediation costs. In no event will the price be lower than the amount the property was struck off for plus additional expenses incurred, which total approximately $63,127.04. The 1992 taxes would be due and owing, as well, and could be paid after the sale since those taxes were incurred after the judgment was taken. Since that time, the tax office and I have spoken numerous times with David O'Farrell, the prospective buyer's real estate agent. Our conversations have centered around the level-one environmental study and the potential need for a level-two study and possible remediation. The buyer has indicated a willingness to absorb those costs and in exchange, would like the purchase price to be lowered to reflect those costs. Subject to City Council's approval, both the tax office and I have agreed to such a reduction. Mr. O'Farrell has prepared a new earnest money contract, which I have reviewed and modified. Essentially, this contract would allow the price to go down in proportion to the costs of the level two and some portion of the remediation costs. In no event will the price be lower than the amount the property was struck off for plus additional expenses incurred, which total approximately $63,127.04. The 1992 taxes would be due and owing, as well, and could be paid after the sale since those taxes were incurred after the judgment was taken.
