THAT THE FRIENDSWOOD CHAMBER OF COMMERCE of the County of
Galveston, State of Texas, in consideration of the sum of Ten
and No/100 ($10.00) Dollars and other good and valuable consid-
eration to it in hand paid by the City of Friendswood, Texas, a
municipal corporation of Galveston County, Texas, the receipt of
which is hereby acknowledged, has granted, sold and conveyed and
by these presents does grant, sell and convey unto the City of
Friendswood, Texas, all that certain property situated in
Galveston County, Texas, described as follows, to-wit:
Part of Lot 12 , Harvey & Stout Subdivision of part
of Block 5 , of the Friendswood Subdivision of a
part of the J. R. Williams or Sarah McKissick League
of Land, in Galveston County, Texas, described as
follows, to-wit:
BEGINNING at the most West corner of Lot 12 also
being most North corner of Lot 11 ;
THENCE N 45 deg. 0 min. East along and with North-
west line of Lot 12 ; 330 feet to point for corner
being the most West corner of Lot 13 and the most
North corner of Lot 12 ;
THENCE S 45 deg. 0 min. E along and with common line
of Lot 12 and 13 , 264 feet to point for corner;
THENCE S 45 deg. 0 min. W, parallel with the North-
west line of said Lot 12 a distance of 330 feet to
point for corner in Southwest line of Lot 12 ;
THENCE N 45 deg. W along Southwest line of Lot 12 ,
264 feet to the Place of beginning, containing 2
acres more or less .
TO HAVE AND TO HOLD the above described premises, together
with all and singular the rights and appurtenances thereto in any
wise belonging unto the said City of Friendswood, Texas, its
successors and assigns forever; and the said Friendswood Chamber
of Commerce does hereby bind itself, its successors and assigns
to Warrant and Forever Defend all and singular the said premises
unto the said City of Friendswood, Texas, its successors and
assigns against every person whomsoever lawfully claiming or to

Grantor reserves herein, and Grantee, in accepting this
conveyance agrees that Grantor, Friendswood Chamber of Commerce,

shall forever have access to and use of the premises conveyed
herein to hold, on or about, July 4 of each year, the Grantor ' s
annual July 4 celebration and/or picnic.
This conveyance is made and accepted subject to any ease-
ments, mineral leases and/or mineral reservations, if any, now
in effect and properly of record in the office of the County
Clerk of Galveston County, Texas.
IN WITNESS whereof the said Friendswood Chamber of Com-
merce, a non-profit corporation existing under the laws of the
State of Texas, of Galveston County, Texas, acting herein by
its officers hereunto duly authorized has caused these presents
to be signed by its said President, Bruce S. Branham, which
action has been authorized and approved by Resolution of the
Directors of the said Friendswood Chamber of Commerce, a copy
of which Resolution is affixed here

BE IT RESOLVED by the Board of Directors of the Friends!
wood Chamber of Commerce, duly assembled:
1. That Bruce S. Branham, President of the Friendswood
Chamber of Commerce be authorized to affix his signature to
this Resolution, and pursuant thereto that he be authorized to
execute a Deed to the City of Friendswood, Texas conveying to
the said City of Friendswood the following described property,
real estate, now owned by the Friendswood Chamber of Commerce:
Part of Lot 12 , Harvey & Stout Subdivision of part
of Block 5, of the Friendswood Subdivision of a
part of the J. R. Williams or Sarah McKissick League
of Land, in Galveston County, Texas, described as
follows, to-wit:
BEGINNING at the most West corner of Lot 12 also
being most North corner of Lot 11;
THENCE N 45 deg. 0 min. East along and with North-
west line of Lot 12 ; 330 feet to point for corner
being the most West corner of Lot 13 and the most
North corner of Lot 12 ;
THENCE S 45 deg. 0 min. E along and with common line
of Lot 12 and 13 , 264 feet to point for corner;
THENCE S 45 deg. 0 min. W, parallel with the North-
west line of said Lot 12 a distance of 330 feet to
point for corner in Southwest line of Lot 12 ;

2 . That a copy of the Deed so executed by the President,
Bruce S. Branham, be affixed and attached hereto and made a

attached thereto, be made a part of the minutes of this

4 4. That the Secretary of the Friendswood Chamber of
"'ill Commerce, Edith Linson, be authorized to attest to the sig-

5. That the President of the corporation, Bruce S.
Branham, and the Secretary, Edith Linson, be authorized to
execute, in addition hereto, a Certificate of Corporation
Resolution certifying the full text of this Resolution and
that it has been made a permanent part of the records of the
corporation.
6. That the aforesaid Deed and conveyance shall con-
tain a restrictive covenant permitting the Friendswood Chamber
of Commerce to forever use and have access to the conveyed
property on or about July 4 of each year for the purpose of
holding the annual July 4 celebration and picnic.

CERTIFICATE OF CORPORATE RESOLUTION
FRIENDSWOOD CHAMBER OF COMMERCE
WE, BRUCE S. BRANHAM, President and EDITH LINSON,
Secretary, of the Friendswood Chamber of Commerce, a corpora-
tion, do hereby certify that said corporation is duly organ- CIT
ized and existing under the laws of the State of Texas ; that

all franchise and other taxes required to maintain its cor-
porate existence have been paid when due and that no such taxes

are delinquent; that no proceedings are pending for the for-
feiture of its Certificate of Incorporation or for its disso-
lution, voluntarily or involuntarily; that it is duly qualified
to do business in the State of Texas and is in good standing in
such State; that there is no provision of the Articles of Incor-
poration or By-Laws of said corporation limiting the power of
the Board of Directors to pass the Resolution set out below and
that the same is in conformity with the provisions of said Ar-
ticles of Incorporation and By-Laws ; that the Secretary is keeper
of the records and minutes of the proceedings of the Board of
Directors of said corporation and that on the 8th day of October,
1969 there was held a general meeting of the membership of the
Friendswood Chamber of Commerce at which meeting the membership
voted to convey the property described in said Resolution to the
City of Friendswood, Texas according to the terms of the said
Resolution and that on the llth day of March, 1970 at a called
meeting of the Board of Directors of said corporation, which
was duly called and held in accordance with the law and the By-
Laws of the corporation, at which meeting all of the Directors
were present ; and that at said meeting the following Resolution
was duly and legally passed and adopted and that the same has
not been altered, amended, rescinded or repealed and is now in
full force and effect:
"BE IT RESOLVED by the Board of Directors of the Friends-
wood Chamber of Commerce, duly assembled:
