R. Williams or Sarah McKis- sick League of land, Galveston County, Texas, des- cribed as follows, to-wit: BEGINNING at the North corner of Lot 11, 165 feet in a southwesterly direction along the northwest- erly line of Lot 11 to a point; THENCE in a southeasterly direction 264 feet to a point; THENCE 165 feet in a northeasterly direction to the southwesterly line of Lot 12 ; THENCE 264 feet in a northwesterly direction along the southwesterly line of Lot 12 to the point of Beginning, this being one acre out of the north- west part of the northeast half of Lot 11. TO HAVE AND TO HOLD the above described premises, together with all and singular the rights and appurtenances thereto in any wise belonging unto the said City of Friendswood, Texas, its suc- cessors and assigns forever; and the said Friendswood Chamber of Commerce does hereby bind itself, its successors and assigns to Warrant and Forever Defend all and singular the said premises un- to the said City of Friendswood, Texas, its successors and assigns against every person whomsoever lawfully claiming or to claim the same, or any part thereof. Grantor reserves herein, and Grantee, in accepting this conveyance agrees that Grantor, Friendswood Chamber of Commerc shall forever have access to and use of the premises conveyed herein to hold, on or about, July 4 of each year, the Grantor' s C.a'' annual July 4 celebration and/or picnic. C: This conveyance is made and accepted subject to any ease- ments, mineral leases and/or mineral reservations, if any, now in effect and properly of record in the office of the County Clerk of Galveston County, Texas IN WITNESS whereof the said Friendswood Chamber of Com- merce, a non-profit corporation existing under the laws of the State of Texas, of Galveston County, Texas, acting herein by its officers hereunto duly authorized has caused these presents to be signed by its said President, Bruce S. L. -:z) RESOLUTION NO. 2°929 A RESOLUTION OF THE CHAMBER OF COMMERCE OF D f,_ E () FRIENDSWOOD, TEXAS AUTHORIZING THE PRESI- DENT TO EXECUTE A DEED TO THE CITY OF FRIENDS- -, BOO!' ?'i ( PACE 447 WOOD, TEXAS CONVEYING PROPERTY NOW OWNED BY THE CHAMBER OF COMMERCE; AUTHORIZING THE PRESIDENT TO EXECUTE A CERTIFICATE OF CORPOR- ATE RESOLUTION; AUTHORIZING THIS RESOLUTION TO BE MADE PART OF MINUTES; AUTHORIZING THE SECRETARY TO ATTEST HERETO; AUTHORIZING PRESIDENT AND SECRETARY TO EXECUTE CERTIFI- CATE HERETO; REQUIRING RESTRICTIVE COVENANT. BE IT RESOLVED by the Board of Directors of the Friends- wood Chamber of Commerce, duly assembled: 1. That Bruce S. Branham, President of the Friendswood Chamber of Commerce be authorized to affix his signature to this Resolution, and pursuant thereto that he be authorized to execute a Deed to the City of Friendswood, Texas conveying to the said City of Friendswood the following described property, real estate, now owned by the Friendswood Chamber of Commerce: Part of Lot Eleven (11) of the Harvey and Stout Subdivision of Part of Block Five (5) of the Friendswood Subdivision of a part of the J. R. Williams or Sarah McKissick League of land, Galveston County, Texas, described as follows, to-wit: BEGINNING at the north corner of Lot Eleven (11) 165 feet in a southwesterly direction along the northwesterly line of Lot Eleven (11) to a point; THENCE in a southeasterly direction 264 feet to a point; THENCE 165 feet in a northeasterly direction to the southwesterly line of Lot Twelve (12) ; THENCE 264 feet in a northwesterly direction along the southwesterly line of Lot Twelve (12) to the point of Beginning, this being one acre out of the northwest part of the northeast half of Lot 11, containing one acre, more or less. 2 . That a copy of the Deed so executed by the President, Bruce S. Branham, be affixed and attached hereto and made a part hereof for all purposes. • 3. That a copy of this Resolution, with the Deed rn attached thereto, be made a part of the minutes of this meeting. z 4. That the Secretary of the Friendswood Chamber of :r Commerce, Edith Linson, be authorized to attest to the sig- nature of Bruce S. Branham to this Resolution. 5. That the President of the corporation, Bruce S. Branham, and the Secretary, Edith Linson, be authorized to execute, in addition hereto, a Certificate of Corporation Resolution certifying the full text of this Resolution and that it has been made a permanent part of the records of the corporation. 6. That the aforesaid Deed and conveyance shall con- tain a restrictive covenant permitting the Friendswood Chamber of Commerce to forever use and have access to the conveyed property on or about July 4 of each year for the purpose of holding the annual July 4 celebration and picnic. BRANHAM, President and EDITH LINSON, Secretary, of the Friendswood Chamber of Commerce, a corpora- tion, do hereby certify that said corporation is duly organ- ized and existing under the laws of the State of Texas; that all franchise and other taxes required to maintain its cor- porate existence have been paid when due and that no such taxes are delinquent; that no proceedings are pending for the for- feiture of its Certificate of Incorporation or for its disso- lution, voluntarily or involuntarily; that it is duly qualified to do business in the State of Texas and is in good standing in such State; that there is no provision of the Articles of Incor- poration or By-Laws of said corporation limiting the power of the Board of Directors to pass the Resolution set out below and that the same is in conformity with the provisions of said Ar- ticles of Incorporation and By-Laws ; that the Secretary is keeper of the records and minutes of the proceedings of the Board of Directors of said corporation and that on the 8th day of October, 1969 there was held a general meeting of the membership of the Friendswood Chamber of Commerce at which meeting the membership voted to convey the property described in said Resolution to the City of Friendswood, Texas according to the terms of the said Resolution and that on the llth day of March, 1970 at a called meeting of the Board of Directors of said corporation, which was duly called and held in accordance with the law and the By- Laws of the corporation, at which meeting all of the Directors were present; and that at said meeting the following Resolution was duly and legally passed and adopted and that the same has R I.
