Conveyance of Fresh Water Line
Friendswood Field

Dear Mr. Morgan:
You have requested Exxon to convey its ownership of a portion of a freshwater
line in the Friendswood Field to the City of Friendswood. The six (6") inch
line is located east of and parallel to Beamer Road and runs from F.M. 2351
north to Exxon's Central Treating Station. Exxon management agrees to convey
this pipeline to the City of Friendswood subject to the following terms and
conditions:
1 . The City of Friendswood will be required to pay for surveying and to
provide Exxon with the necessary plats to complete the instruments of
conveyance.
2. The City of Friendswood will pay for the installation of a new meter at
Exxon's Central Treating Station on Beamer Road, said location to be
determined by an on site inspection with City of Friendswood officials
and Exxon officials.
3. The City of Friendswood will assume all maintenance of this section of
the pipeline after conveyance.

4. The steel water line has never been used to transport hydrocarbons.
However, Exxon will not assume responsibility for the water quality in
this pipeline.

Should the City of Friendswood agree to these terms and conditions, please have
the appropriate official sign in the space provided below. After Exxon has
received the survey work from the City of Friendswood, a Bill of Sale will be
prepared for execution. Should you have any questions please do not hesitate to
