We, the undersigned, F. F. Lewis, as President of Sera
OrAl Country Club, Inc. and M. CI. Jordan as Secretary of said corpora-
tion, hereby certify that at a meeting of the Board of Directors of
said corporation duly held at $NEL1- OIL Co. •1 EEk Pr4jz K 7 X'45 on
Ociobe.- 3, /5.7b , the following resolution was duly
passed:
"BE IT RESOLVED, that the President of this corporation
and the Secretary be and they are hereby duly authorized to
convey to the City of Friendswood of Galveston County, Texas,
a sewer line easement across a strip situated in Galveston
County, Texas, which strip is 10 feet in width, hereinafter
described, which easement shall be conveyed on the form at-
tached hereto as Exhibit 'A' and made part hereof. The bound-
ries of said strip is described as follows:
BEING a 10' wide permanent easement across Lot 1, 2, 3,
and 4 of Block 8 of the Voss Subdivision, Sarah McKissick or
J. R. Williams League, Abstract 151, Galveston County, Texas.
BEGINNING at a point in the Northeasterly line of the 60'
right-of-way of a county road known as Winding Way, said point
of beginning lying N 46° 25' W 10.0' from the common Southerly
corner of Lot 4 and Westerly corner of Lot 5 of the said Voss
Subdivision;
THENCE N 46° 25' W 10.0' with Northeasterly line of the
60' right-of-way of Winding Way and Southwesterly line of Lot
4 of the said Voss Subdivision;
THENCE N 43° 35' E at 1950.0' past a 1" iron pipe which
is N 46° 25' W 20.0' from the common corner of Lots 1, 2, 7,
and 8, continue in all 2258.6' across Lots 4, 3, 2, and part
of 1 with the Northwesterly line of that certain 20' strip
described in deed recorded in Volume 647 at page 409 of the
Galveston County Deed Records to a point for corner;
THENCE S 47° 35' W 2258.92' parallel to and 10.0' North-
westerly of the common Northeasterly line of Lots 1, 2, 3, and
4 and Northwesterly line of Lots 5, 6, 7, and 8 to the place
of beginning;
SAID boundary enclosing an area of 0.5185 acres out of
the Sarah McKissisk or J. R. Williams League, Abstract 151
and recorded in Deed Record Book No. 1041, Pages 192 to 196,
inclusive, of the Deed Records of Galveston County, Texas."
The undersigned hereby also certify that we are the Presi-
dent and Secretary, respectively, of Sera Country Club, Inc. , a
corporation, and that the above and foregoing resolution was duly
passed by the Board of Directors and that the same is a true copy

of the resolution passed by said Board of Directors at a meeting
duly held, of which proper notice was given to all directors, and
a quorum was present, and that said resolution has not been rescind-
ed.
