This conveyance made at Galveston County, Texas, on this
47,45,,c , 1969, by and between Sunmeadow
Development Company, a Texas Corporation, hereinafter called "Grantor, "
and Sunmeadow Municipal Utility District, a political subdivision of the
State of Texas, hereinafter called "Grantee" or "District. " aik1/40

For and in consideration of the sum of $10 cash in hand paid ;;,ice
by Grantee to Grantor, and other good and valuable considerations not set
forth herein, the receipt and sufficiency of which are hereby acknowledged,
Grantor hereby sells, transfers and conveys to Grantee, its successors
and assigns, all the storm sewer system, presently installed and situated
within the area of District and/or serving the area of the District. A
boundary description of the area of District is hereto attached, marked
"Exhibit 1, " and made a part hereof for all purposes.
The storm sewer system hereby conveyed includes generally
lines of all sizes, inlets, manholes, easements, permits, licenses,
privileges, and all appurtenances pertaining to and connected with said
system, owned by Grantor and installed at this date within the boundaries
of the District and/or serving the area of the District.
To have and to hold said storm sewer system, together with
all and singular the rights and appurtenances thereto belonging, unto
Grantee, its successors and assigns, forever. Grantor covenants that it
is the owner of the above-conveyed properties and facilities and has full
right and authority to convey same; that said properties and facilities are
free and unencumbered; and that it will forever warrant and defend the
title thereto against any person whomsoever lawfully claiming same or
any part thereof.

at the place and on the date first above written by and through its duly
authorized president.

Dear Sirs:
The undersigned is the owner of the existing storm
sewer facilities situated within the area of your district.
We are willing to sell said facilities to you and
hereby irrevocably agree and commit to sell same to you at our
actual cost.
If you or the Texas Water Rights Commission wish
an appraisal of said facilities by an independent engineer, we will
sell same to you at our cost or the appraised value, whichever is
less. If you or the Texas Water Rights Commission wish an audit
of our cost by an independent auditor, we are agreeable thereto.

This agreement made at Galveston County, Texas, this
October 20, 1969, by and between Sunmeadow Municipal Utility District,
hereinafter called "District, " and Sunmeadow Development Company,
hereinafter called "Developer. "
WITNESSETH :
Whereas, Developer has entered into a contract dated
May 28, 1968, with Texala Construction Company for the installation
of storm sewer lines. Reference is here made to said contract for all
purposes. Said storm sewer lines contract is completed. All facilities
constructed under said contract are to serve the area of District. At
the time of the execution of said contract and the installation of said
facilities, it was contemplated that District would purchase all of such
facilities. Said facilities were installed pursuant to plans of the District's
engineer which are on file with and have been approved by the Texas Water
Rights Commission.
Whereas, Developer has conveyed to the District said
storm sewer lines, and has paid the contractor direct all amounts due to
this date under said contract, and District has repaid to Developer said
amounts.
Whereas, it is convenient and expedient for said contract
to be assigned to the District and for it to pay the final estimate now due
thereunder, rather than the Developer paying same.
Now, therefore, said above-identified contract is hereby
assigned and transferred to District; and District accepts this assignment
and transfer and all the benefits and obligations under said contract, and
agrees to pay direct to Texala Construction Company the final estimate due
under this contract and approved by the District's engineer.

executed same in triplicate by and through their duly authorized offi-
cers, at the place and on the date first above written.
