DRAINAGE EASEMENT

KNOW ALL MEN BY THESE PRESENTS:
That Timothy Woodliff, Trustee for the Richard N. Woodliff Family Trust, Owner,
hereinafter referred to as owner and Grantor, for and in consideration of One Dollar
($1.00), and other items as defined in this agreement to Grantee, JEROME KARAM 7,
Inc., hereinafter the City of Friendswood is referred to as Grantee, and other good and
valuable consideration,the receipt and sufficiency of which is hereby acknowledged,has
granted, and by these presents does grant unto Grantee, its successors, assigns and
lessees, an Easement for the purposes of constructing and maintaining an Underground
Piping and Drainage Ditch, across, under, along and upon the following described lands
located in Galveston County, Texas:
SEE DESCRIPTION IN ATTACHMENT "A" HEREWITH
The covered drainage pipe Easement granted herein is an easement 25 and 30 feet in
width and running along the most southerly property line of the 12.6751 Acre Tract
described in Film Code 010-44-0389 in the Office of the County Clerk of Galveston
County, Texas, and said Easement is for the sole purpose of cutting, installing
underground pipe, and maintaining a ditch to carry surface water to the outfall at the
right-of-way line of FM 528. This is an Easement for Drainage purposes only.
Easement Specifications:
1. The easement should utilize underground drainage materials(pipe) from FM 528
going west for 420 feet. This section should be 25 foot wide.
2. The easement will continue west from the end of this 420 foot underground
section and use open-ground drainage techniques as required to tie into the area of
retention of the developer. This section should be 30 feet wide with applicable slope on
the sides for maintenance ease.
Appearance:
The drainage area along the entire easement should be graded and repaired into good
condition upon completion and installation of underground piping and graded to provide
above ground drainage and aesthetic quality. The entire area of construction should be
level for maintenance and sodden with St. Augustine grass upon completion. The area
above the ground should be easy to maintain and the construction style of the easement
should not interfere with the conducting of business on the property. This includes the
area along the entire easement.

The easement will be maintained by the City of Friendswood. This includes above and
underground construction.
All issues causing drainage problems on owner's property due to the construction of the
easement will be the immediate responsibility of the developer to repair. It is understood
that the entire property is draining at this time.
All repairs in the future to the underground piping will be the responsibility of the City of
Friendswood.
The City of Friendswood will allow the easement to be utilized for drainage of the
owner's property if needed in the future at no extra costs. Owner shall have the full right
to tie in to the underground piping or surface ditch at zero cost from the City of
Friendswood.
Right of Way:
Owner shall have full usage of right of way on top of underground piping for entrance
and exit along full property line with the understanding that the city has privileges to
repair drainage materials at any time in the easement. All disturbances to access must be
repaired after repairs or enhancements are made.
Inspections:
The owner of the property will have subjective right of inspection in determining
property conditions after construction is complete. This is limited to determining water
drainage in its existing status and aesthetic qualities that would not hinder the value or
appearance of the entire property.
In Consideration for the Easement:
The developer will clear the entire south property line of trees and other debris, grade the
land, and dispose of all waste properly from the land. The dirt mound will be removed,
the land graded along the easement and placed on the developer's land. Large clumps of
trees and debris along the property line will be graded and removed. The land shall be
graded for proper drainage and aesthetic quality. The large clump of trees in the middle
of the property toward the soccer fields(west) shall be removed and the land graded.
The developer will assure the integrity of the existing drainage and repair any disturbance
to the drainage scheme in place at this time on the owner's property. Right to utilize the
easement for drainage is reserved for the owner. The owner requires inspections upon
completion of construction.

Abstract No. 625, & the I.& G.N.R.R. Co. Survey,
Section 22, Abstract 618, Galveston County, Texas,
according to Deed Recorded in Film Code 010-44-0389
of the Deed Records of Galveston County, Texas,
and More Particularly Described by Metes and Bounds
as follows:
BEGINNING at a 1/2 inch iron rod found in the westerly right-of-way of F.M. 528 for
the most southeasterly corner of this Tract being described, and the most southeasterly
